Collateral and Guarantee Suspension Period definition

Collateral and Guarantee Suspension Period means any period (a) starting on the date on which (i) no Default has occurred and is continuing, (ii) the Borrower has an Investment Grade Rating from any two (2) of the Rating Agencies and (iii) a Responsible Officer of the Borrower has delivered a certificate to the Administrative Agent stating that the forgoing conditions are satisfied and requesting that a Collateral and Guarantee Suspension Period commence and (b) ending on the date the Borrower ceased to have an Investment Grade Rating from at least two (2) of the Rating Agencies.
Collateral and Guarantee Suspension Period is defined in Section 9.12 hereof.
