Committee Expenses definition

Committee Expenses means fees or expenses that: (a) the Creditors' Committee or its professionals actually incur on or after the Effective Date; (b) relate to or arise from Avoidance Actions or Claims Litigation; and (c) do not exceed the Litigation Fund.
Committee Expenses means the reasonable out-of-pocket expenses of members of a Committee, to the extent approved by the Court.
Committee Expenses means the reasonable and documented fees and expenses of members of the Committee (including but not limited to fees and expenses for professionals to the individual members of the Committee), subject to an aggregate cap of $ 1 million; provided that such fees and expenses shall only be payable to the extent the Committee and its members do not file or otherwise assert an objection to the Plan or Confirmation of the Plan.

More Definitions of Committee Expenses

Committee Expenses means all reasonable documented expenses incurred by members of the Stockholders' Committee in performing their duties under the Indemnification Escrow Agreement and the Special Liability Escrow Agreement (including reasonable fees and expenses of professional advisors). Neither Parent, the Surviving Corporation, nor the Escrow Agent shall have any liability or obligation of any nature whatsoever in respect of Committee Expenses or the payment or satisfaction thereof, which shall only be paid or satisfied by recourse by the Stockholders' Committee to the stockholders directly; provided, however, that notwithstanding the foregoing, up to $100,000 of Committee Expenses may be paid or satisfied through the release of Escrow Shares that are, by the terms of the Indemnification Escrow Agreement and the Special Liability Escrow Agreement, distributable thereunder to stockholders.
Committee Expenses means the reasonable and documented fees and costs of the Creditors’ Committee’s retained professionals incurred during the period commencing on the Confirmation Date through the Effective Date for claims reconciliation (including preparing and filing objections to claims), consultation, or monitoring these Chapter 11 Cases in connection with the Debtors’ prosecution of Estate Claims or Causes of Action.
Committee Expenses means Allowed Claims for expenses pursuant to section 503(b)(3) of the Bankruptcy Code incurred and to be incurred by members of the Committee in their capacity as Committee members in the Chapter 11 Cases prior to the dissolution of the Committee.

  • Class Expenses means the expenses of registering a Class in any jurisdiction or with any stock exchange, regulated market or settlement system, and all other expenses arising from such registration and such further expenses howsoever arising as may be disclosed in the Prospectus. The cost of converting currency and the costs and gains/losses of the hedging transactions are borne solely by the relevant Class.

  • Claim Expenses means reasonable documented attorneys’ fees and all other reasonable documented out-of-pocket costs, expenses and obligations (including experts’ fees, travel expenses, court costs, retainers, transcript fees, duplicating, printing and binding costs, as well as telecommunications, postage and courier charges) paid or incurred in connection with investigating, defending, being a witness in or participating in (including on appeal), or preparing to investigate, defend, be a witness in or participate in, any Claim, including any Action relating to a claim for indemnification or advancement brought by an Indemnified Party as contemplated in Section 7.5.

  • O&M Expenses means expenses incurred by or on behalf of the Developer or by the Authority, as the case may be, for all O&M including (a) cost of salaries and other compensation to employees, (b) cost of materials, supplies, utilities and other services, (c) insurance premium, (d) all taxes, duties, cess and fees due and payable for O&M, (e) all repair, replacement, reconstruction, reinstatement, improvement and maintenance costs, (f) payments required to be made under the O&M Contract, or any other contract in connection with or incidental to O&M, and (g) all other expenditure required to be incurred under Applicable Laws, Applicable Permits or this Agreement.

  • Transition Expenses The reasonable costs (including reasonable attorneys’ fees) of the Backup Servicer incurred in connection with the transferring the servicing obligations under this Agreement and amending this Agreement to reflect such transfer in an amount not to exceed $100,000.

The Expense Administrator will receive a fee equal to $5,500 payable on each Distribution Date. The Expense Administrator Make-Whole Amount, if any, shall also be considered part of the Expense Administrator's fee hereunder and under the Expense Administration Agreement. The Amounts specified in this paragraph are also referred to as the "Expense Administrator's Fee". The Expense Administrator will be responsible for paying the Trustee Fee and reimbursing certain other expenses of the Trust in accordance with the Expense Administration Agreement.

  • Distribution Expenses means, with respect to all rights granted to LGF hereunder, one hundred percent (100%) of the aggregate of all actual, direct, out-of-pocket, third xxxxx costs expended or incurred by LGF in direct connection with the distribution and exploitation of the Picture throughout the Territory in all media, including, without limitation, all DLT Creation Costs, and all conversion, manufacturing, duplication, shipping, marketing, advertising, promotion and publicity costs, and all costs to complete Delivery of the Picture (to the extent (i) LGF elects to cure any failure of Grantor to complete Delivery of the Picture in accordance with the Delivery Schedule and/or (ii) LGF is required to take "access" to any Delivery Materials pursuant to the Delivery Schedule; and/or fiii) Grantor is not required to deliver such elements under the Delivery Schedule).
