Company Fundamental Warranties definition

Company Fundamental Warranties means the warranties set forth in Section IV.1 (Corporate Existence and Power), Section IV.2 (Authorisation; No Contravention), Section 4.3 (Government Authorisation, ; Third Party Consents and Notices), Section 4.4 (Binding Effect), clauses (d) and (e) of Section 4.6 (Compliance with Laws; Anti-Bribery Laws) and Section IV.8 (Capitalisation).

Company Fundamental Warranties means any representations and warranties of the Company contained in Section 4.01(a) to 4.01(d) and Section 4.01(g).

Company Fundamental Warranties means, collectively, the representations and warranties of the Company in Section 2.1(a) (Due Formation), Section 2.2(b) (Authority), Section 2.1(c) (Valid Agreement), Section 2.1(d) (Capitalization) and Section 2.1(e) (Valid Issuance of the Purchased Shares).

Examples of Company Fundamental Warranties in a sentence

• Each of the Sellers Fundamental Warranties and Company Fundamental Warranties shall be true and correct as of the Closing Date.

• The Company Fundamental Warranties and Purchaser Fundamental Warranties shall survive until the latest date permitted by Law or indefinitely if such date is not provided.

• All representations and warranties of the parties hereto contained in this Agreement or in any certificate or other writing delivered pursuant hereto or in connection herewith shall expire and terminate upon the Final Indemnity Escrow Release Date, except for the Company Fundamental Warranties, Holder Fundamental Warranties and the Buyer Fundamental Warranties, each of which shall expire and terminate on the three-year anniversary following the Closing Date.

• For clarity, the foregoing limitation does not apply to Company/Seller Warranty Breaches in respect of the Company Fundamental Warranties, or the Seller Fundamental Warranties.

More Definitions of Company Fundamental Warranties

Company Fundamental Warranties means any representations and warranties of the Company contained in Section 4.01(a) to Section 4.01(f) and Section 4.01(l).
