Company Fundamental Warranties definition

Company Fundamental Warranties means the warranties set forth in Section IV.1 (Corporate Existence and Power), Section IV.2 (Authorisation; No Contravention), Section 4.3 (Government Authorisation, ; Third Party Consents and Notices), Section 4.4 (Binding Effect), clauses (d) and (e) of Section 4.6 (Compliance with Laws; Anti-Bribery Laws) and Section IV.8 (Capitalisation).
Company Fundamental Warranties means any representations and warranties of the Company contained in Section 4.01(a) to 4.01(d) and Section 4.01(g).
Company Fundamental Warranties means, collectively, the representations and warranties of the Company in Section 2.1(a) (Due Formation), Section 2.2(b) (Authority), Section 2.1(c) (Valid Agreement), Section 2.1(d) (Capitalization) and Section 2.1(e) (Valid Issuance of the Purchased Shares).

  • Each of the Sellers Fundamental Warranties and Company Fundamental Warranties shall be true and correct as of the Closing Date.

  • The Company Fundamental Warranties and Purchaser Fundamental Warranties shall survive until the latest date permitted by Law or indefinitely if such date is not provided.

Company Fundamental Warranties means any representations and warranties of the Company contained in Section 4.01(a) to Section 4.01(f) and Section 4.01(l).
