ConAgra Plans definition

ConAgra Plans means (i) the ConAgra Pension Plans, the ConAgra 401(k) Plans, the ConAgra Welfare Plans, and the ConAgra Retiree Welfare Plans, and (ii) any other Benefit Plan that, as of the close of business on the day before the Distribution Date, is sponsored or maintained solely by any member of the ConAgra Group. For the avoidance of doubt, no member of the ConAgra Group will be deemed to sponsor or maintain any Benefit Plan if its relationship to such Benefit Plan is solely to administer such Benefit Plan or provide to Xxxx Xxxxxx any reimbursement in respect of such Benefit Plan.
ConAgra Plans has the meaning set forth in the Employee Matters Agreement.
ConAgra Plans means the ConAgra Foods, Inc. 2014 Stock Plan, or any similar or predecessor plan sponsored by Conagra or any of its subsidiaries, as applicable, under which any awards remain outstanding as of the date immediately prior to the Distribution Date, including, but not limited to, the ConAgra Foods 2000 Stock Plan, the ConAgra Foods 2006 Stock Plan and the ConAgra Foods 2009 Stock Plan.

  • Old Plans has the meaning set forth in Section 6.8(b).

  • Welfare Plans shall have the meaning set forth in Section 3.2.4.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Compensation Plans shall have the meaning set forth in Section 3.11(b).

  • Retirement Plans means the retirement income, supplemental executive retirement, excess benefits and retiree medical, life and similar benefit plans providing retirement perquisites, benefits and service credit for benefits at least as great in the aggregate as are payable thereunder prior to a Change in Control;

  • Company Plans has the meaning set forth in Section 4.10(a).

  • Parent Plans has the meaning set forth in Section 6.4(c).

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

  • Seller Plans has the meaning set forth in Section 3.13(a).

  • Benefit Plans shall have the meaning set forth in Section 3.13(a).

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • New Plans shall have the meaning set forth in Section 5.11(b).

  • Option Plans has the meaning assigned thereto in Section 2.5(b).

  • Employee Plans has the meaning set forth in Section 3.14(b).

  • Health and Welfare Plans means any Benefit Plan that was established or is maintained for the purpose of providing for its participants or their beneficiaries, through the purchase of insurance or otherwise, medical (including preferred provider organization, exclusive provider organization, and high deductible health plan coverages), dental, prescription, vision, short-term disability, long-term disability, life and accidental death and dismemberment, employee assistance, group legal services, wellness, cafeteria (including premium payment, health flexible spending account, and dependent care flexible spending account components), travel reimbursement, transportation, or other benefits in the event of sickness, accident, disability, death, or unemployment, vacation benefits, apprenticeship or other training programs, day care centers, scholarship funds, or prepaid legal services, including any such plan, fund, or program as defined in Section 3(1) of ERISA.

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Company Equity Plans means any stock option, stock incentive, stock purchase or other equity compensation plan, sub-plan or non-plan agreement sponsored or maintained by the Company or any Subsidiary or controlled Affiliate of the Company or to which any such entity is a party.

  • RemainCo shall have the meaning set forth in the Preamble.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Qualified Plans has the meaning set forth in Section 5.20.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Designated Employees means a person occupying any of the following position in the Company:

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Health Plans means any and all individual and family health and hospitalization insurance and/or self-insurance plans, medical reimbursement plans, prescription drug plans, dental plans and other health and/or wellness plans.
