Consultant Tools definition

Consultant Tools means proprietary works of authorship that have not been created specifically for USCC, and that do not uniquely address issues related to USCC’s business practices or contain or embody Confidential Information of USCC, including without limitation computer programs, methodologies, templates, flowcharts, architecture designs, tools, specifications, drawings, sketches, models, samples, records and documentation, as well as copyrights, trademarks, service marks, ideas, concepts, know-how, techniques, knowledge or data, and any derivatives thereof, which have been originated, developed or purchased by Consultant, a Consultant Affiliate, or by third parties under contract to Consultant or to a parent or affiliated company of Consultant.
Consultant Tools means any method, process or technique designed and developed by Contractor and used by Contractor in connection with providing consulting services under a Statement of Work, whether any such method, process or technique was conceived, developed or delivered prior to this Agreement or in connection with providing services under a Statement of Work that are not directly related to, based upon or derived from EDT Learning Products, Derivative Work or Development Software. Contractor retains ownership of and all rights to any Consultant Tools. Except as otherwise expressly provided in a separate, written license agreement signed by Contractor, if any, no license or other right to the Tools is granted or transferred to any Customer or to EDT Learning by this Agreement, any Statement of Work, or any Customer Contract.
Consultant Tools means any tools which Consultant has already developed or which Consultant independently develops or licenses from a third party, excluding any tools which Consultant creates pursuant to this Agreement. “Consultant Property” may include, without limitation, creative concepts, digital files, original artwork, ads, outreach materials, videos, photos, musical compositions and all other production of any creative property that is used in the marketing of Energy Upgrade California. “Third Party Property” means those portions of the Deliverables in which the intellectual property is owned by a third party.

  • Consultant hereby irrevocably assigns to CSE all right, title and interest in and to all deliverables, and documentation produced pursuant to CSE’s requests for Work hereunder including, without limitation, all applicable intellectual property rights excluding Consultant Tools and Third Party Property, as defined below.

  • Throughout the term of the Agreement, and immediately upon termination, Consultant shall provide to CSE the most current copies of any Consultant Tools, Consultant Property and Third Party Property to which CSE has rights pursuant to the foregoing, plus any related documentation.

  • FHC shall retain all rights, title and interest (including, without limitation, all copyrights, patents, service marks, trademarks, trade secret and other intellectual property rights) in and to all technical or internal designs, that have been previously developed by FHC or developed during the course of the provision of the Services, provided such generic documents or templates do not contain any DOI Confidential Information or proprietary data ("Consultant Tools").

  • Consultant Tools and all intellectual property rights therein, including Copyrights, shall be owned solely by Consultant.

  • Consultant hereby irrevocably assigns to CCSE all right, title and interest in and to all Deliverables, and documentation produced pursuant to CCSE’s requests for Work hereunder including, without limitation, all applicable intellectual property rights excluding Consultant Tools and Third Party Property, as defined below.

  • Consultant further grants Client a right to modify, reproduce, or otherwise use the Work or Consultant Tools in connection with its internal business or to share Consultant Tools or Work with other public sector entities for their internal business use.

  • Consultant hereby grants to Client a nonexclu- sive, nontransferable (other than the right to sublicense such uses to Client’s publisher, web host, or Internet service providers), perpetual, worldwide license to use the Consultant Tools solely with the Final Deliverables for the Project.

  • To the extent that the Consultant may include in the work product any Consultant Tools, the Consultant agrees that the City shall be deemed to have a fully paid up license to make copies of the Consultant Tools as part of its use of this work product for its internal business purposes and provided that such Consultant Tools cannot be modified or distributed outside the City without the written permission of the Consultant or as otherwise permitted herein.

  • Client may not directly or indirectly, in any form or manner, decompile, reverse engineer, or otherwise disassemble or modify any Consultant Tools compris- ing software or technology.


More Definitions of Consultant Tools

Consultant Tools means all tools developed and/or used by Consultant in performing the Services, including, without limitation, pre-existing and newly developed software including source code, web authoring tools, type fonts, and application tools, together with any other software, or other inventions (whether or not patentable), and general non- copyrightable concepts such as website design, architecture, layout, navigational and functional elements.
Consultant Tools shall refer to all the tools developed and/or used by the Consultant in performing all services as agreed upon.
Consultant Tools means Consultant’s intellectual property (including its designs, methods, software, and trade secrets) that either preexist this Agreement or are developed by Consultant other than in providing services for Client under this Agreement.

Related to Consultant Tools

  • Consultant means any person, including an advisor, engaged by the Company or a Parent or Subsidiary to render services to such entity.

  • Subconsultant means any person or entity to whom/which the Consultant subcontracts any part of the Services in accordance with the provisions of GCC Clause 50.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Consultant Company means for an individual consultant, a company or partnership of which the individual is an employee, shareholder or partner;

  • Professional Technologist means a person holding registration as Professional Engineering Technologist in terms of the Engineering Profession Act, 2000.

  • Subcontractor means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor.

  • Independent Consultant means the independent individual, firm, or organization with which the SBA contracts to prepare the Premium Formula and any other actuarial services for the FHCF, as determined under the contract with the Consultant.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Pharmacy technician or “technician” means a person who is employed in Iowa by a licensed pharmacy under the responsibility of an Iowa-licensed pharmacist to assist in the technical functions of the practice of pharmacy, and who is registered pursuant to 657—Chapter 3, and includes a certified pharmacy technician, a pharmacy technician trainee, and an uncertified pharmacy technician.

  • Design Consultant means Design Consultant or Design Consultant's authorized representative.

  • Engineer means the representative of the Architect/consultant.

  • Incumbent Contractor means any contractor providing any service that constitutes or that will constitute part of the Services immediately before the Transfer Date.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Sub-consultant means an entity to whom the Consultant intends to subcontract any part of the Services while the Consultant remains responsible to the Procuring Entity during the whole performance of the Contract.
