In addition to Tuition, I agree to make timely payment of the fees, charges and/or deposits to PPS when applicable and as mentioned in the Handbook, including, but not limited to, the Registration Fee, Payment Source Transfers, Insufficient Funds Charges, Tuition Deposits, Late Payment Charges, Late Pick-Up Charges, Late Sign-Out or Sign-In Fees, Handling Fees, Fob Fees and Convenience Fees, all of which are non-refundable.
In such event, DFS will be charged the applicable termination for convenience fees set forth in Exhibit C6 (Termination for Convenience Fees) of Schedule C (Compensation).
In the event of termination of this Agreement and/or a Statement of Work as to New Services, other than payments for non-cancelable leases and service contracts, Gap shall pay the termination for convenience charges specified in Exhibit C.6 (Termination for Convenience Fees).
If Supplier is unable to perform the Services within *, Gap, at its sole discretion, may (i) terminate any portion of the Agreement affected by the nonperformance and the charges shall be equitably adjusted; or (ii) terminate the Agreement as of the date specified by Gap in a written notice to Supplier without payment of Termination Charges as set forth in Exhibit C.6 (Termination for Convenience Fees).
Notwithstanding the foregoing, Gap shall be responsible for the Termination Charges for Change of Control as detailed in Exhibit C.6 (Termination for Convenience Fees), and in the event the surviving entity is a Gap Competitor, Gap shall be responsible for Stranded Costs only.
Convenience Fees: At your request, we may pass along convenience charges, such as; expedited mailing of your credit card or balance transfer checks up to $26.00 Stop payment fees: We may charge you $18.00 for a stop payment placed on a balance transfer check initiated by you, or a stop payment on a convenience check written by you.
On a daily basis, we will credit your Deposit Account, and make available to you, funds equal to the aggregate sum of Electronic Payments made by your Homeowners, after deduction of any associated Convenience Fees.
Settlement Class Members who paid at least one Convenience Fee are entitled to receive a payment of $5.00 from the Net Settlement Fund, with the remainder paid to Settlement Class Members on a pro rata basis, based upon the amount of Convenience Fees paid by each Settlement Class Member during the Class Period.
Any Convenience Fees collected from Homeowners shall be credited against any electronic payment service fees payable by you to us.
