Cost of Issuance definition

Cost of Issuance means the items of expense to be paid or reimbursed directly or indirectly by the Agency and related to the authorization, sale and issuance of Bonds, and entering into of other Parity Obligation Instruments, which items of expense shall include, but not be limited to, printing costs, costs of reproducing documents, filing and recording fees, initial fees and charges of the Trustee, legal fees and charges, professional consultants’ fees, costs of credit ratings, fees and charges for execution, transportation and safe-keeping of Bonds, costs and expenses of refunding Bonds, bond underwriting fees, any bond issuance charge and other costs, charges and fees in connection with the foregoing.
Cost of Issuance means items of expense payable or reimbursable directly or indirectly by the Authority and related to the authorization, issuance and sale of Bonds, which expenses shall include, but not be limited to, printing costs, costs of reproducing documents, filing and recording fees, initial fees and charges of the Trustee and other Fiduciaries, legal fees and disbursements, professional consultants fees and disbursements, reimbursements to the Authority and its agents for administrative, travel and overhead expenses, bond discount, underwriting fees and other financing costs (if not otherwise provided for), fees and charges for execution, transportation and safekeeping of Bonds and all other costs, charges, fees and expenses in connection with the foregoing.
Cost of Issuance means the costs incurred with respect to the issuance of any Bonds, including without limitation, the Trustee's initial fees and expenses, rating agency fees, bond insurance or surety bond premiums, fees and expenses of consultants and attorneys, printing costs and expenses, and fees and expenses of the Authority and the City incurred in connection with the issuance and sale of the Bonds.

  • The Corporation shall provide the Applicant with a good faith estimate of the Cost of Issuance Fee prior to closing.

Cost of Issuance means all charges, costs and expenses of the Commission incurred in connection with the authorization, issuance, sale and delivery of the Bonds including, but not limited to, legal fees, accounting fees, Municipal Advisory fees, Bond Credit Facility premiums, fiscal or escrow agent fees, printing fees, travel expenses and Rating Agency fees.
