Data Room Materials definition

Data Room Materials means the documents and other information disclosed in writing to the Offeror by the Company on or prior to the date of this Agreement as identified in the Disclosure Letter of the Company.
Data Room Materials means (a) all the Records and (b) any other documents related to the Products, in each case, made available to Buyer for inspection in the electronic data room. ​
Data Room Materials means the materials contained in the virtual data room (established by Primero) as at 12:01 a.m. on August 25, 2017 and listed or described on the index thereof to be attached to the Disclosure Letter on or before the Schedule Delivery Deadline;

  • Except as disclosed in the Data Room Materials, neither the Company nor any Subsidiary has, or is subject to, any present or future obligation or liability under, any pension plan, deferred compensation plan, retirement income plan, stock option or stock purchase plan, profit sharing plan, bonus plan or policy, employee group insurance plan, program policy or practice, formal or informal, with respect to its employees.

  • The Data Room Materials contain true and complete copies of all agreements under which any such fees or expenses are payable and all indemnification and other agreement related to the engagement of the persons to who such fees are payable.

  • Thereafter, the Data Room Materials shall be released by PG&E as part of the Final Technical Report and/or other summarized reports.

  • Except as disclosed in the Data Room Materials on or prior to the date of this Agreement, to the knowledge of the Company and its Subsidiary, no audit, investigation, assessment or reassessment of Taxes is reasonably anticipated or imminent.

  • Except as disclosed in the Data Room Materials, there are no outstanding waivers of any limitation periods or agreements providing for an extension of time for the filing of any tax return or the payment of any Taxes.

  • The Offeror will be provided with any information related to the business of the Company provided to such person that was not previously provided to the Offeror in the Data Room Materials.

  • A copy of the index containing the Data Room Materials is attached hereto as Schedule 5.2. For the avoidance of doubt, the information contained in the Data Room Materials shall in no way limit any of the Warranties or limit Warrantor’s liability under this Agreement, except as specifically set forth in the Disclosure Letter.

  • Other than as referred to in the Company’s Disclosure Documents there are (i) no agreements to which the Company or its Subsidiary is bound or (ii) licences, leases, permits, authorities and permissions held by the Company or its Subsidiary, which are material to the conduct of the Company’s business or the business of its Subsidiary that were not disclosed to the Offeror in the Data Room Materials.

  • All of the outstanding shares and other ownership interests of the Subsidiary described in such Exhibit are validly issued, fully paid and non-assessable and all securities and other ownership interests owned directly or indirectly by the Company are owned free and clear of all Encumbrances, except as set out in the Company’s Disclosure Documents or disclosed in the Data Room Materials.

  • Seller shall deliver the Data Room Materials to Buyer in electronic format prior to terminating Buyer’s access to the electronic data room.


More Definitions of Data Room Materials

Data Room Materials means the information contained in the files, reports, data, documents and other materials relating to DirectCash and the DirectCash Subsidiaries as made available to the Parent through the facilities of the Data Room and contained on a DVD provided by DirectCash to the Parent concurrently with entry into this Agreement;
Data Room Materials means the documents, files, data and information which were reviewed by Purchaser, or were available to be reviewed by Purchaser in Vendor’s data room, or were otherwise provided to Purchaser by Vendor at any time prior to the date hereof, including the materials described in Schedule “E” attached hereto;
Data Room Materials means the documents, files, data and information which were: (i) reviewed by the Purchaser; or, (ii) available to be reviewed by the Purchaser; in the Vendor’s data room during the period April 5, 2005 to May 9, 2005 as set forth in the CD or CD’s attached hereto as Schedule “G”;
Data Room Materials means the material and information contained in the virtual data room established by the Guarantor and made available to the Purchaser and its representatives on or prior to 9:00 a.m. (London time) on January 10, 2013, an electronic copy of the contents of which has been delivered to the Purchaser concurrently with the execution and delivery of this Agreement;
Data Room Materials means all information, materials, and data contained in the information summary/DVD dated July 16, 2013, respecting the Assets, that was prepared by Vendor and BMO Capital Markets and delivered to Purchaser on July 16, 2013.

Related to Data Room Materials

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • SAP Materials means any materials (including statistical reports) provided, developed or made available by SAP (independently or with Customer’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Professional Services to Customer. SAP Materials do not include the Customer Data, Customer Confidential Information or the Cloud Service. SAP Materials may also be referred to in the Agreement as “Cloud Materials”.

  • Supplier Materials has the meaning given in clause 8.1(h).

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Product Information has the meaning specified in Section 10.12(a).

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Proprietary Materials means any tangible chemical, biological or physical research materials that are furnished by or on behalf of one Party to the other Party in connection with this Agreement, regardless of whether such materials are specifically designated as proprietary by the transferring Party.

  • Confidential Materials means all tangible materials containing Confidential Information, including without limitation written or printed documents and computer disks or tapes, whether machine or user readable.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • Company Proprietary Software means all Software owned by the Company.

  • Product Data are illustrations, standard schedules, performance charts, instructions, brochures, diagrams, and other information furnished by the Contractor to illustrate materials or equipment for some portion of the Work.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Technical Information means technical data or computer software, as those terms are defined in the clause at DFARS 252.227-7013, Rights in Technical Data-Non Commercial Items, regardless of whether or not the clause is incorporated in this solicitation or contract. Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.

  • Client Materials means all works and materials supplied by or on behalf of the Client to the Consultant for incorporation into the Deliverables or for some other use in connection with the Services;

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Due Diligence Materials means the information to be provided by Seller to Purchaser pursuant to the provisions of Section 4.1 hereof.

  • Course Materials means lectures, exercises designed for online collaboration, multimedia developed for Web distribution, notes, outlines, syllabi, bibliographies, tests, instructional handouts, videotaped presentations and any like materials and documents (whether in electronic or other medium) that a member of the bargaining unit authors or creates in connection with the preparation or teaching of a course at a University.

  • Client Records has the meaning set forth in Section 3.14.

  • Goods/Materials means any of the articles, materials, machinery, equipments, supplies, drawing, data and other property and all services including but not limited to design, delivery, installation, inspection, testing and commissioning specified or required to complete the order.
