Deal Documents definition

Deal Documents means the Transaction Documents, the Placement Agency Agreement, the Master Contribution Agreement, the Issuer Purchase Agreement, the Licensee Instruction under the Master Contribution Agreement, the Licensee Instruction under the Issuer Purchase Agreement, the Assignment Agreement, and the Assumption and Release Agreement.
Deal Documents means the Series 2002-1 Transaction Documents and each other document, agreement, certificate, schedule or other writing entered into or delivered in connection with the foregoing, as the same may be amended, supplemented, restated, replaced or otherwise modified from time to time.
Deal Documents means the Transaction Documents to which Dermavant is or will be party.

  • In addition, the Trustee shall enter into such other Deal Documents on the Closing Date to which it is party or execute acknowledgements thereunder in such Deal Documents under which the Trustee has third party beneficiary rights.

  • Subject to the conditions set forth in the proviso in the immediately preceding sentence, nothing in this Section 12.17 shall prejudice the right of the Trustee to make such Distribution Report and accompanying materials available in any other manner specified in the Deal Documents.


More Definitions of Deal Documents

Deal Documents means this Agreement, the Escrow Agreement and any agreements entered into in connection herewith or related hereto.
Deal Documents means the Framework Agreement together with the other Transaction Documents (as defined in the Framework Agreement) described therein to which the Company is a party, together with the schedules, annexes and exhibits thereto; Directors means such person or persons as shall be appointed as the directors of the Company for the time being or, as the case may be, the directors assembled as a board;

Related to Deal Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).

  • Organizational Documents means, with respect to any Person, the articles of incorporation, certificate of incorporation, certificate of formation, certificate of limited partnership, bylaws, limited liability company agreement, operating agreement, partnership agreement, stockholders’ agreement and all other similar documents, instruments or certificates executed, adopted or filed in connection with the creation, formation or organization of such Person, including any amendments thereto.

  • Constitutive Documents means the Trust Deed or such other documents as defined in the Regulations.

  • Organizational Document means (a) the articles or certificate of incorporation and the bylaws of a corporation; (b) operating agreement, limited liability company agreement, or similar document governing a limited liability company; (c) any charter or similar document adopted or filed in connection with the creation, formation, or organization of a Person; and (d) any amendment to any of the foregoing.

  • Collateral Documents means, collectively, the Security Agreement, each of the Mortgages, collateral assignments, security agreements, pledge agreements, intellectual property security agreements or other similar agreements delivered to the Administrative Agent and the Lenders pursuant to Section 6.11 or Section 6.13, and each of the other agreements, instruments or documents that creates or purports to create a Lien in favor of the Administrative Agent for the benefit of the Secured Parties.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Borrower Documents shall have the meaning set forth in Section 6.06.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Merger Documents means the Merger Agreement and the Certificate of Merger.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Fundamental Documents means, with respect to a corporation, the charter and bylaws (each as amended) or, with respect to any other Person, the documents by which such Person (other than an individual) establishes its legal existence or which govern its internal affairs.

  • Investment Documents means, with respect to any Core Portfolio Investment or any Senior Bank Loan Investment, any related loan agreement, security agreement, mortgage, assignment, all guarantees, note purchase agreement, intercreditor and/or subordination agreements, and UCC financing statements and continuation statements (including amendments or modifications thereof) executed by the Obligor thereof or by another Person on the Obligor’s behalf in respect of such Core Portfolio Investment or Senior Bank Loan Investment and any related promissory note, including, without limitation, general or limited guaranties and, if requested by the Administrative Agent, for each Core Portfolio Investment secured by real property by a mortgage document, an Assignment of Mortgage, and for all Core Portfolio Investments or Senior Bank Loan Investments with a promissory note, an assignment thereof (which may be by allonge), in blank, signed by an officer of the Borrower.

  • Documents includes any and all instruments, documents, agreements, certificates, indentures, notices and other writings, however evidenced.
