Deal Documents definition

Deal Documents means the Series 2002-1 Transaction Documents and each other document, agreement, certificate, schedule or other writing entered into or delivered in connection with the foregoing, as the same may be amended, supplemented, restated, replaced or otherwise modified from time to time.

Examples of Deal Documents in a sentence

  • The Trustee in its individual capacity shall not be answerable or accountable under any circumstances except for its own willful misconduct or negligence or breach of any of its representations or warranties set forth herein, and the Trustee shall not be liable for any action or inaction of the Issuer or any other parties to any of the Deal Documents.

  • In addition, the Trustee shall enter into such other Deal Documents on the Closing Date to which it is party.

  • The Maker has full corporate power and authority necessary to enter into and deliver the Deal Documents and to perform its obligations hereunder.

  • Subject to the conditions set forth in the proviso in the preceding sentence, nothing in this Section 6.2 shall prejudice the right of the Trustee to make such Distribution Report and accompanying materials available in any other manner specified in the Deal Documents.

  • Each of the Deal Documents has been duly authorized by Dermavant.

  • The Trustee shall have no duty to monitor the performance of the Issuer, the Servicer or any other party to the Deal Documents, or to confirm the accuracy of any information or calculation required to be provided by such parties to the Trustee under the Deal Documents.

  • Nothing in this Amendment shall be construed to imply any willingness on the part of the Trustee or the Noteholders to agree to or grant any similar or future amendment, consent or waiver of any of the terms and conditions of the Indenture or the other Deal Documents.

  • Material Documents has the meaning set forth in Section 5.23.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).

  • Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.

  • Organizational Documents means (a) with respect to a corporation, the charter, articles or certificate of incorporation, as applicable, and bylaws thereof, (b) with respect to a limited liability company, the certificate of formation or organization, as applicable, and the operating or limited liability company agreement thereof, (c) with respect to a partnership, the certificate of formation and the partnership agreement, and (d) with respect to any other Person the organizational, constituent and/or governing documents and/or instruments of such Person.

  • L/C Documents means, with respect to any Letter of Credit, such Letter of Credit, any amendments thereto, any documents delivered in connection therewith, any application therefor, and any agreements, instruments, guarantees or other documents (whether general in application or applicable only to such Letter of Credit) governing or providing for (i) the rights and obligations of the parties concerned or at risk or (ii) any collateral security for such obligations.
