Distribution Documents definition

Distribution Documents means this Agreement and the Ancillary Agreements.

Distribution Documents means all of the agreements and other documents entered into in connection with the Distribution as contemplated hereby, including, without limitation, this Agreement and the Ancillary Agreements.

Distribution Documents has the meaning set forth in the Separation Agreement.

• If any party or any of its successors or permitted assigns (i) shall consolidate with or merge into any other Person and shall not be the continuing or surviving corporation or entity of such consolidation or merger or (ii) shall transfer all or substantially all of its properties and assets to any Person, then, and in each such case, proper provisions shall be made so that the successors and assigns of such party shall assume all of the obligations of such party under the Distribution Documents.

• No representation, inducement, promise, understanding, condition or warranty not set forth herein or in the other Distribution Documents has been made or relied upon by any party hereto or any member of their Group with respect to the transactions contemplated by the Distribution Documents.

Distribution Documents means this Distribution Agreement, the Tax Sharing Agreement, and the exhibits and schedules to those agreements.

Distribution Documents means this Agreement, the Ancillary Agreements and the Restructuring Agreements.

Distribution Documents means the Acceptable Plan, the Rights Offering, the Backstop Agreement, and the MIP. “Xxxxx Act” means, collectively, the U.S. citizenship and cabotage laws principally contained in 46 U.S.C. § 50501(a), (b) and (d) and 46 U.S.C. Chapters 121 and 551 and any successor statutes thereto, together with the rules and regulations promulgated thereunder by the U.S. Coast Guard and the U.S. Maritime Administration and their practices enforcing, administering, and interpreting such laws, statutes, rules, and regulations, in each case as amended or supplemented from time to time, relating to the ownership and operation of U.S.-flag vessels in the U.S. coastwise trade. “Non-U.S. Citizen” means any Person that is not a U.S. Citizen and any Person that fails to deliver the Requisite Documentation. “U.S. Citizen” means a Person that is a citizen of the United States within the meaning of the Xxxxx Act, eligible and qualified to own and operate U.S.-flag vessels in the U.S. coastwise trade.

Distribution Documents has the meaning specified in Section 8.2(c)(ii).

Distribution Documents means this Agreement and any other agreement entered between certain members of the VF Group and certain members of the Kontoor Brands Group in connection with the Restructuring and/or Distribution, including, for the avoidance of doubt, the Separation and Distribution Agreement, a transition services agreement, a tax matters agreement, an employee matters agreement, certain commercial agreements, certain shared facilities agreements and any other agreements, instruments or certificates related thereto or to the transactions contemplated by the Separation and Distribution Agreement.

Distribution Documents means, with respect to the Distribution, the Form ---------------------- 10 and all documentation executed pursuant to or contemplated by the terms thereof and all documentation executed and delivered to consummate the Distribution, as the same may be amended or otherwise modified from time to time.

Distribution Documents mean Distribution Documents as such term is defined in the Distribution Agreement.
