Embedded Product. At AMEX's discretion, AMEX may require ASF to embed the Required Embedding in the Services provided to AMEX Clients or other existing or potential ASF Clients, and ASF shall use all reasonable commercial efforts to integrate the Required Embedding into a seamless offering of the Services. After mutually agreeable terms to both Parties are reached, ASF may embed in the Services other AMEX products, including Small Business Services, Corporate Card, Business Travel and Purchasing Card services. Any AMEX Embedded Products will, at AMEX's discretion, be clearly identified under the name and brand that AMEX designates. AMEX will use reasonable efforts to customize the AMEX products, at AMEX's expense, that will be embedded in the Services. As mutually agreed by the Parties, ASF may collect payment on any and all Embedded Products as part of the fee structure established with a Client and shall remit any payments so collected to AMEX within 25 days following the end of the month.
Embedded Product means a Product in which Software is securely embedded to allow the Product content to be edited, rendered or displayed; non- exclusive examples include software Products such as mobile apps and physical Products such as eReaders;
Embedded Product means an NROM Product, which is a single chip with an NROM Memory Block and at least one of the following blocks: (a) Microcontroller or logic block (which is not a Test/Use Logic Block); and/or (b) a block of memory which does not incorporate Saifun NROM Technology (which is not an SRAM or other Non-NROM Memory Block used in conjunction with Test/Use Logic Block).

Embedded Product means a Product that: (a) is an integrated system or device that includes all hardware necessary to operate the included Implementation(s) as marketed by Licensee or its Distributors and in accordance with any published performance standards; (b) is sold only as a combination of software and hardware; and (c) cannot be substantially updated, upgraded or modified by the End User without technical assistance from Licensee or its Distributors.
Embedded Product means a semiconductor device integrating (i) a GateField FPGA technology ("GateField FPGA") with (ii) a gate array, standard cell, full custom, SRAM unrelated to the GateField FPGA, or Flash memory product which is unrelated to the GateField FPGA (the "Non-FPGA Product") where the principal use of the product is satisfied by the non-FPGA functions and the GateField FPGA is principally used to enhance or support the non-FPGA Product; provided that in any event, where the GateField FPGA portion of the total chip represents less than or equal to eighty-five percent (85%) of the area of the whole chip, such chip shall be deemed an Embedded Product and where the GateField FPGA portion of the total chip is more than eighty-five percent (85%) of the area of the whole chip, such chip shall be deemed an Embedded Product upon the mutual agreement of the parties that the principal use of the chip is satisfied by the non-FPGA function and that the GateField FPGA is principally used to enhance or support the non-FPGA Product, and such agreement shall not be unreasonably withheld.

AMEX agrees to set aside the normal referral fees with respect to Other Embedded Products in the form of (a) special offers creating savings to Clients and/or employees or (b) commissions paid to ASF. The rights and obligations of ASF with respect to Other Embedded Products shall be subject to the terms and conditions of individual agreements made between ASF and such AMEX business unit(s) as specified by AMEX with respect to each Other Embedded Product (each a "Product Agreement"), which the parties agree to negotiate in good faith. Any and all Embedded Products will, at AMEX's discretion, be clearly identified under the name and brand that AMEX designates, and ASF agrees that all Embedded Products shall have preferred placement at the top of the principal web pages for the financial and travel sections of the ASF Site."
