EU Requirements means requirements relating to risk retention and due diligence as provided under EU Regulation 575/2013, EU Directive 2011/61/EU (a supplemented by EU Regulation 231/2013) and EU Directive 2009/138/EC (as supplemented by EU Regulation 2015/35), together with any technical standards, guidance, implementing regulations or delegated regulations relating thereto and in each case as the same may be amended and/or superseded from time to time.
EU Requirements. Procurement includes, but is not limited to: (a) Directives 2004/18/EC, 2004/17/EC and 2007/66/EC as implemented by the Public Contracts Regulations 2006 (SI No 5/2006) (as amended) and the Utilities Contracts Regulations 2006 (SI No 6/2006) (as amended); (b) Directives 2014/23/EU, 2014/24/EU and 2014/25/EU and any subsequent domestic regulations giving effect to Directives 2014/23/EU, 2014/24/EU and 2014/25/EU; and (c) the EU Commission Interpretative Communication (2006/C 179/02) and the principles of transparency, non- discrimination, equality of treatment, proportionality and mutual recognition in the TFEU, and as any may be amended from time to time; "European Commission" means the Commission of the European Communities; “Event of Default” means the occurrence of any of the following: (a) the Borrower fails to comply with the terms and conditions of this Agreement; (b) the Project Activities are not commenced by the date which falls [three (3) months] after the date of this Agreement; (c) the Eligible Expenditure is not claimed in line with the Expenditure Profile; (d) Completion of the Project Activities has not been achieved by the Agreed Project Completion Date; (e) a Change is made to the Project without the prior written approval of the Council, as required by Clause 7 (Changes to the Project); (f) the European Commission or a European Court requires any Loan paid to the Borrower to be recovered by reason of a breach of the State Aid Rules; (g) the Borrower fails to comply with the provisions of all State Aid Rules that apply to the Project and the Loan; (h) any report or certificate made by the Borrower's auditor or reporting accountant is unsatisfactory (where, for example, the report or certificate refers to a fundamental uncertainty or disagreement, or contains a material qualification, or states that the auditor or accountant is unable to form an opinion about any item, or reports that any amount is not correctly stated in the accounts or records examined);
EU Requirements means requirements relating to risk retention and due diligence as provided under EU Regulation 575/2013 and similar requirements (i) that apply to investments in securitizations by investment funds managed by European Economic Area ("EEA") investment managers subject to EU Directive 2011/61/EU, and (ii) subject to the adoption of certain secondary legislation, will apply to investments in securitizations by EEA insurance and reinsurance undertakings and by EEA undertakings for collective investment in transferable securities.
