Existing RCF definition

Existing RCF means that certain Second Amended and Restated Credit Agreement, dated as of September 20, 2016, between Claire’s Stores, Inc. as borrower, and Credit Suisse AG as Administrative Agent, as amended, modified, or supplemented from time to time.
Existing RCF means the €500,000,000 syndicated multi-currency revolving credit facility agreement dated 12 May 2011 between, among others, Blue as the company, Blue Finance BV as original borrower and ING Bank N.V., London Branch as facility agent.
Existing RCF means the Issuer’s NOK 200,000,000 revolving credit facility pursuant to a facility agreement dated 23 March 2021 entered into between, among others, the Issuer as borrower and DNB Bank ASA as lender.

Examples of Existing RCF in a sentence

  • Exit Financing means, collectively, the Exit Notes/Loan, the Exit RCF and the Modified Existing RCF.

  • In the event of any inconsistency or conflict between the terms of this Schedule and the terms of the Existing RCF Agreement, the terms of this Schedule will prevail.

  • The Company does not intend to use the Existing RCF Facility to finance the Acquisition.For more information on the Existing RCF Facility, see paragraph 5.1.5 of Part VI (Additional Information).

  • Existing RCF customers will be grandfathered effective October 18, 2001, with no additions, changes or moves being allowed.

More Definitions of Existing RCF

Existing RCF means the EUR 31,000,000 revolving credit facility made available by DNB Bank ASA to the Issuer dated 12 March 2021.
Existing RCF means a £150,000,000 revolving credit facility agreement dated 24 January 2007 and entered into inter alia between the Company, Lloyds TSB Bank plc as facility agent and the other financial institutions listed therein.
Existing RCF means a £210,000,000 revolving credit facility agreement dated 7 July 2009 and entered into inter alia between the Company, HSBC Bank plc, Lloyds TSB Bank plc and Clydesdale Bank plc.
Existing RCF means the EUR 10,000,000 revolving credit facility made available under the super senior revolving facility agreement originally dated 7 February 2020 (as amended and/or amended and restated from time to time) and entered into by, inter alios, Oldenburgische Landesbank Aktiengesellschaft as arranger, original lender and agent, Nordic Trustee & Agency AB (publ) as security agent and LFG MidCo as company and original borrower (as outstanding plus any accrued but unpaid interest and any break fees or other costs payable upon repayment thereof).
Existing RCF means the EUR 60,000,000 facilities agreement dated 1 February 2010 (as amended from time to time) between amongst others the Company and Barclays Bank PLC as agent.
Existing RCF means the Euro 7 billion (with an option to increase to Euro 7.3 billion) multicurrency revolving facilities agreement dated 6 July 2010 between, among others, the Company, BNP Paribas as facility agent and the Initial Mandated Lead Arrangers or Affiliates as lenders.
Existing RCF means the existing revolving loan facility made available under the facility agreement dated 24 September 2015 between, amongst others, the Company as borrower and guarantor, Criteo Finance and Criteo Corp. as additional borrowers, the arrangers named therein and Crédit Lyonnais (LCL) as agent, as amended and/or restated from time to time. "Facility" means the revolving loan facility made available under this Agreement as described in Clause 2 (The Facility). "Facility Office" means the office or offices notified by a Lender to the Agent in writing on or before the date it becomes a Lender (or, following that date, by not less than five Business Days' written notice) as the office or offices through which it will perform its obligations under this Agreement. "FATCA" means: (a) sections 1471 to 1474 of the Code or any associated regulations; (b) any treaty, law or regulation of any other jurisdiction, or relating to an intergovernmental agreement between the U.S. and any other jurisdiction, which (in either case) facilitates the implementation of any law or regulation referred to in paragraph (a) above; or (c) any agreement pursuant to the implementation of any treaty, law or regulation referred to in paragraphs (a) or (b) above with the U.S. Internal Revenue Service, the U.S. government or any governmental or taxation authority in any other jurisdiction. "FATCA Application Date" means: (a) in relation to a "withholdable payment" described in section 1473(1)(A)(i) of the Code (which relates to payments of interest and certain other payments from sources within the U.S.), 1 July 2014; or (b) in relation to a "passthru payment" described in section 1471(d)(7) of the Code not falling within paragraph (a) above, the first date from which such payment may become subject to a deduction or withholding required by FATCA. "FATCA Deduction" means a deduction or withholding from a payment under a Finance Document required by FATCA. "FATCA Exempt Party" means a Party that is entitled to receive payments free from any FATCA Deduction. "Fee Letter" means any fee letter dated on or about the Signing Date between any Finance Party and the Company setting out any of the fees referred to in Clause 12 (Fees).
