Facility Loan Documents definition

Facility Loan Documents means, collectively, the Series A Note, the Assignment of Facility Lease, and the Facility Deed of Trust.

Facility Loan Documents shall have the meaning provided in Section 12.1(a).

Facility Loan Documents means this Agreement, the Note, the Guaranty, the Subordination Agreement and each other document or instrument delivered by the Borrower or any Guarantor or any other Person in connection herewith; provided such term shall not include the 5-Year Revolving Credit Agreement or any of the documents, instruments or agreements executed in connection therewith.

Examples of Facility Loan Documents in a sentence

• Payment of Commissions earned hereunder shall be as specified in or with reference to the terms and conditions of the Senior Secured Facility Loan Documents and may be based on the attainment of certain performance benchmarks by the PSL Agent and/or its Subagent(s).

• On the Effective Date, the Reorganized Debtors shall execute and deliver the Subordinated Notes Facility Loan Documents, which shall become effective and enforceable in accordance with their terms and the Plan.

• The PSL Agent shall compile and submit to the Authority, and the Authority shall submit to the appropriate Person as designated in the Senior Secured Facility Loan Documents, an invoice and copies of all requisite receipts and other documentation reasonably required to verify PSL Costs incurred by the PSL Agent or its Subagents in performing services under this Agreement.

• During the Sales Term, the PSL Agent is authorized to enter into PSL Sales Agreements with PSL Licensees on behalf of the Authority so long as such PSL Agreements are in the form approved by the Authority pursuant to the terms of Section 2.4 hereof, and to process payments in connection therewith in accordance with the terms of the Senior Secured Facility Loan Documents and this Agreement.

• The Authority shall reimburse the PSL Agent, and the PSL Agent shall be solely responsible for reimbursing any Subagent (to the extent such Subagents are not directly reimbursed by the Authority) pursuant to the Senior Secured Facility Loan Documents, for the PSL Costs incurred consistent with the PSL Budget throughout the Sales Term (including the costs and expenses provided for in Sections 2.2, 4.1, 5.1, 13.1 and 14.

More Definitions of Facility Loan Documents

Facility Loan Documents means, with respect to any Facility Loan, the related Facility Loan Agreement and all “Loan Documents” as defined in the related Facility Loan Agreement.

Facility Loan Documents means any agreement, document or other instrument evidencing or securing any Facility Loan so long as a true, correct and complete copy of such agreement, document or other instrument has been provided to Manager.

Facility Loan Documents means (i) this Agreement, the Facility Notes (if any), the Custodial and Paying Agency Agreement, the Security Agreement, the Account Control Agreement, and any Joinder Agreement, securities account control agreement or REO Mortgage that may be executed and delivered pursuant to the Security Agreement, and (ii) any and all other agreements, certificates or instruments executed and delivered by any Grantor in connection with the execution and delivery of, or otherwise pursuant to, any of the agreements specified in clause (i), provided that neither the Purchase Money Notes nor the Purchase and Assumption Agreement constitutes a Facility Loan Document.

Facility Loan Documents means this Agreement and for each Loan, the Note, the Mortgage, the Assignment of Leases, the Assignment of Service Contracts, the Guaranty, the Environmental Indemnity Agreement, the Lock Box Agreement and all other documents, instruments and agreements now existing or hereafter entered into by Borrower or any other person with Lender evidencing or securing each of the Loans, as the same may be amended from time to time. The Facility Loan Documents executed and delivered by Borrower for each Loan are listed on the Loan Schedule for each Loan.

Facility Loan Documents means this Loan Agreement and for each Loan, the Note (as defined below); the Security Instrument; an Assignment of Leases and Rents; an Assignment of Licenses, Permits and Contracts; an Assignment of Interest Rate Cap as Collateral; the Guaranty (as defined below); an Environmental Indemnity Agreement; the Lock Box Agreement (as defined below), the Required Repair Reserve Agreement, the Replacement Reserve Agreement, the TI Reserve Agreement; and all other documents, instruments and agreements now existing or hereafter entered into by Borrower or any other person with Lender evidencing or securing each of the Loans, all in form and substance acceptable to Lender in its sole discretion, as the same may be amended from time to time. Facility Loan Documents means any agreement, document or other instrument evidencing or securing debt obligations of Owner and/or Tenant to Facility Lender, which debt obligations are secured by the Facility, but only to the extent (i) Manager has received written notice of, and an opportunity to consult and comment on, such obligations prior to the imposition of such obligations and (ii) such obligations are reasonable and customary for facilities similar to the Facility; provided in no event shall Manager be in default hereunder for any failure to comply with financial covenants imposed pursuant to any such agreement, document or instrument. The Facility Loan Documents existing as of the Effective Date are approved by Manager.

Facility Loan Documents shall have the meaning set forth in the Lease.
