Final Data File definition

Final Data File is defined in Section 2.09(a). “Final [ * * * ] Amount” is defined in Section 2.09(a). “Final [ * * * ] Amount” is defined in Section 2.09(d)(i).
Final Data File is defined in Section 2.9(a).
Final Data File means that: o Client has reviewed the data file and the data it contains confirming that all data it contains is accurate and complete. o Client has reviewed the totals stated in the Benefitfocus’ Total Reports and agrees that the totals in the Totals Reports are accurate and match Client’s internal system totals. o The data file does not require any type of change, modification, or amendment whatsoever, and Benefitfocus may immediately begin printing or distributing the Tax Forms associated with the data file. Client responsibilities The following are the responsibilities of Client during the term of the Order Form.  The Client will provide a primary contact to coordinate their responsibilities.  All relevant Data Quality issues must be resolved on or before November 1st of each year.  Client must provide a written confirmation validating that the data file produced by Benefitfocus is the Final Data File before Benefitfocus will print or electronically distribute any of the Tax Forms relating to that file. The Final Data File must be approved by January 20th of each year the Order Form is in effect. If Client misses the deadline for the Final Data File and still wants to meet the reporting deadline, a $1,000 per day late fee would apply. Client understands and agrees that Benefitfocus will use the Final Data File to generate original, reissue, and corrected Tax Forms.  Within three business days of receiving the Final Data File from Benefitfocus, Client must approve the Final Data Files that contains the information that will be used to create the Tax Forms that will be shipped or mailed.  For any Final Data Files approved after the deadline above, Benefitfocus will not be liable for any damages arising out of the failure to mail or electronically distribute the Tax Forms by the regulatory deadline, including any fines or penalties arising therefrom.  Title to and risk of loss for completed Tax Forms passes to Client at the time the Tax Forms are delivered either to the USPS, a commercial mail receiving agency, or a nationally recognized courier (e.g., UPS, etc.). Add-on 1095-C Fulfillment Services At Client’s request, Benefitfocus can provide the following additional services as described below:  Additional URL’s  Single Sign-on  Original PDF copies delivered to Client address(es) (vs employee addresses)  Benefitfocus can create copies of Tax Forms in PDF format - Tax Forms will be marked, “Reissued Statement”

Final Data File is defined in Section 2.08(a). “Final [ *** ]” means the adjustment, if applicable, included in the Final Adjusted Base Annuity Premium that takes into account [ *** ], if any, calculated based on the Final Data File in accordance with the methodology and procedures set forth in Section II(B) of the Procedures Manual. “[ *** ]” means [ *** ].

Related to Final Data File

  • Data File means a single record or collection of data records that are logically related to each other, and are handled as a unit;

  • personal data filing system ('filing system') shall mean any structured set of personal data which are accessible according to specific criteria, whether centralized, decentralized or dispersed on a functional or geographical basis;

  • Information Package means the most recent compilation of financial and other data with respect to the Failed Bank, including any amendments or supplements thereto, provided to the Assuming Institution by the Corporation on the web site used by the Corporation to market the Failed Bank to potential acquirers.

  • Virtual Data Room means the virtual data room established by the Company, access to which was given to SPAC in connection with its due diligence investigation of the Company relating to the Transactions.

  • Data Tape The list of all mortgage loans, dated as of the date specified therein, whose Mortgage Servicing Rights will be sold, or that are anticipated to be sold, as applicable, to Seller under the Asset Purchase Agreement.

  • Case file means a record that is assembled and maintained for each application approved for state cost sharing.

  • Receivable File means the documents (whether tangible or electronic) specified in Section 2.02 pertaining to a particular Receivable.

  • Contract File means with respect to each Contract, the physical and/or electronic files in which Credit Acceptance maintains the fully executed original counterpart or “authoritative copy” (in each case, for UCC purposes) of the Contract (to the extent required in accordance with Section 3.03 of this Agreement), either a standard assurance in the form commonly used in the industry relating to the provision of a certificate of title or other evidence of lien, the original or electronic instruments modifying the terms and conditions of such Contract and the original or electronic endorsements or assignments of such Contract.

  • Custodial File As to each Mortgage Loan, any mortgage loan documents which are delivered to the Custodian or which at any time come into the possession of the Custodian as set forth in Section 2 of this Custodial Agreement.

  • Statement Cycle means the period of time for which our credit union provides a summary of the financial activities and transactions that post and settle to the accountholder's account.

  • Servicing File With respect to each Mortgage Loan, the file retained by the Company consisting of originals of all documents in the Mortgage File which are not delivered to the Custodian and copies of the Mortgage Loan Documents listed in the Custodial Agreement the originals of which are delivered to the Custodian pursuant to Section 2.03.

  • Merchandise certificate means a writing not redeemable in cash and usable in its face amount in lieu of cash in exchange for goods or services.

  • Data Log means a complete record of all Data Interchanged representing the Messages and their Associated Data between the parties;

  • Operational Data means personal data provided or made available by one party to the other which is operationally required for the performance of the Contract (business contact information such as names, email addresses, telephone numbers and fax numbers) relating to the Party’s employees or representatives;

  • Asset File means the materials with respect to the Assets (i) previously delivered to Buyer or its representatives by or on behalf of Seller, whether written or orally, (ii) made available to Buyer or its representatives at the Hotel or at the offices of Broker, in each case, whether written or orally, or (iii) made available to Buyer or its representatives in the data room web site created by Broker.

  • Electronic File means any text, illustration or other matter supplied or produced by either Party in digitised form on disc, through a modem, or by ISDN or any other communication link.

  • Collateral File With respect to each Mortgage Loan, a file containing each of the Collateral Documents.

  • Data means recorded information, regardless of form, the media on which it is recorded, or the method of recording.

  • Personnel file means, for the purposes of Part III (8VAC20-90-60 et seq.), any and all memoranda, entries or other documents included in the teacher's file as maintained in the central school administration office or in any file regarding the teacher maintained within a school in which the teacher serves.

  • Line Information Data Base (LIDB) means a transaction-oriented database system that functions as a centralized repository for data storage and retrieval. LIDB is accessible through CCS networks. LIDB contains records associated with End User line numbers and special billing numbers. LIDB accepts queries from other network elements and provides return result, return error, and return reject responses as appropriate. Examples of information that Account Owners might store in LIDB and in their Line Records are: ABS Validation Data, Originating Line Number Screening (OLNS) data, ZIP Code data, and Calling Name Information.
