FLSA Settlement Class definition

FLSA Settlement Class means all current and former hourly Foot Locker employees who worked for Foot Locker for at least one hour in the United States any time between March 2, 2007 and March 2, 2010 as retail associates (e.g., Sales Associate, Cashier, Stock Person, but not Assistant Store Manager or Store Manager), and (1) filed a FLSA Consent Form to participate in the FLSA Litigation, and (2) has not withdrawn his or her FLSA Consent Form prior to the execution of this Settlement Agreement.

FLSA Settlement Class means those individuals who are members of the California Settlement Class who elected to participate in the Settlement and timely submitted a valid Claim Form and who performed at one or more of the Clubs as entertainers and in conjunction therewith have provided nude, semi-nude and/or bikini entertainment for customers at the Clubs as “LLC Members” or “independent contractors” during any portion of the the FLSA Class Period.

FLSA Settlement Class. MEMBER” refers to any member of the FLSA CLASS who opts-in by timely submitting a CLAIM FORM and a W-9 FORM. R. “JANUARY 1, 2004 — XXXXXX 0, 0000 XXX WEEK VALUE” shall equal $18.27. S. “LITIGATION” refers to the action filed on or about July 7, 2005, entitled Xxxxx, et al. v.   • Settlement Class means, in respect of each Proceeding, the settlement class defined in Schedule A.

  • Settlement Classes means the Ontario Settlement Class and the Quebec Settlement Class.

  • ASX Settlement means ASX Settlement Pty Ltd (ABN 49 008 504 532);

  • PJM Settlement or “PJM Settlement, Inc.” shall mean PJM Settlement, Inc. (or its successor), established by PJM as set forth in Section 3.3 of the Operating Agreement.

  • Settlement Class Members means any member of the Settlement Class.

  • Settlement Class Period means the period from March 3, 2018 through February 10, 2022.

  • Individual Settlement Payment means the amount payable from the Net

  • Physical Settlement Amount For any Settlement Date for which Physical Settlement is applicable, an amount in cash equal to the product of (a) the Forward Price in effect on the relevant Settlement Date multiplied by (b) the Settlement Shares for such Settlement Date.

  • Gross Settlement Amount means $240,000 which is the total amount Standard agrees to pay under the Settlement, except as provided in Paragraph 8 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Gross Settlement Fund means the Settlement Amount plus all interest earned thereon.

  • Viatical settlement broker means a person, including a life insurance producer as provided for in section 508E.3, who, working exclusively on behalf of a viator and for a fee, commission, or other valuable consideration, offers or attempts to negotiate viatical settlement contracts between a viator and one or more viatical settlement providers or one or more viatical settlement brokers. Notwithstanding the manner in which the viatical settlement broker is compensated, a viatical settlement broker is deemed to represent only the viator, and not the insurer or the viatical settlement provider, and owes a fiduciary duty to the viator to act according to the viator’s instructions and in the best interest of the viator. “Viatical settlement broker” does not include an attorney, certified public accountant, or a financial planner accredited by a nationally recognized accreditation agency who is retained to represent the viator and whose compensation is not paid directly or indirectly by the viatical settlement provider or purchaser.

  • securities settlement system means a securities settlement system (as defined in the CSD Regulation) operated by a central securities depository;

  • Maximum Settlement Amount means the maximum amount the Company may be required to pay pursuant to this Settlement, which is the sum of Three Hundred Thousand Dollars ($300,000), excluding any of the Company’s employer-side share of FICA, FUTA, and other similar, mandatory employer-side payroll taxes. In no event shall the Maximum Settlement Amount exceed the foregoing sum.

  • Net Settlement Amount means the Gross Settlement Amount, less the following payments in the amounts approved by the Court: Individual PAGA Payments, the LWDA PAGA Payment, Class Representative Service Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, and the Administration Expenses Payment. The remainder is to be paid to Participating Class Members as Individual Class Payments.

  • Purchase Contract Settlement Fund has the meaning specified in Section 5.5.

  • Viatical settlement provider means a person, other than a viator, who enters into or effectuates a viatical settlement contract. Viatical settlement provider does not include:

  • Final Settlement Date has the meaning set forth in Section 2.4(c).

  • Share Settlement means a number of shares of Class A Common Stock equal to the number of Redeemed Units.

  • Net Share Settlement Amount For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Cash Settlement shall have the meaning specified in Section 14.02(a).

  • Retail Settlement Code means the code approved by the Board and in effect at the relevant time, which, among other things, establishes a distributor’s obligations and responsibilities associated with financial settlement among retailers and customers and provides for tracking and facilitating customer transfers among competitive retailers;

  • Physical Settlement Date means the date (which may occur after the Scheduled Maturity Date) specified as such in the Intended Physical Settlement Notice falling 10 Business Days after the date of the Intended Physical Settlement Notice.

  • Qualified Settlement Fund or “Settlement Fund” means the interest-bearing, settlement fund account to be established and maintained by the Escrow Agent in accordance with Article 5 herein and referred to as the Qualified Settlement Fund (within the meaning of Treas. Reg. § 1.468B-1).
