Employee understands that Employee may not directly or indirectly offer, promise, grant, or authorize the giving of money or anything else of value to a Foreign Government Official to influence official action, obtain or retain business, or secure an improper advantage.
Employee also represents and warrants that Employee will disclose to Employer if Employee or any member of Employee’s family is a Foreign Government Official.
The Manufacturer may not provide any entertainment or gifts to any Domestic Government Official or Foreign Government Official for or on behalf of the Purchaser or any of its Affiliates.
The Manufacturer must not, in violation of any Law, offer, pay or agree to pay, directly or indirectly, any consideration of any kind to any Domestic Government Official or Foreign Government Official (as defined in Exhibit G) to influence the act, decision or omission of any such Domestic Government Official or Foreign Government Official in his or her official capacity in connection with this Agreement.
Specifically, each of RGI and Licensee agrees that, in connection with its respective activities under this Agreement, it will not offer, promise, authorize or otherwise act in furtherance of, or pay anything of value, directly or indirectly, to a Foreign Government Official, a foreign political party or party official, or any candidate for foreign political office, in violation of such anti-bribery and anti-corruption Laws.
