Foreign Government Official definition

Foreign Government Official means any officer or employee of a Governmental Entity or any department, agency or instrumentality thereof, or of a public international organization, or any Person acting in an official capacity for or on behalf of any government or department, agency or instrumentality thereof, or for or on behalf of any such public international organization, or any political party, party official or candidate thereof, other than officials related to any Governmental Entity in the United States.
Foreign Government Official means any officer or employee of a Governmental Authority or an Affiliate thereof (including any sovereign wealth fund) or of a public international organization, or any Person acting in an official capacity for or on behalf of any such Governmental Authority or an Affiliate thereof, or for or on behalf of any such public international organization, or any political party, party official, or candidate thereof.
Foreign Government Official means (i) any officer or employee of a foreign Governmental Entity or any department, agency or instrumentality thereof (including a state-owned or state-controlled entity); (ii) any officer or employee of a public international organization; (iii) any Person acting in an official capacity for or on behalf of any such foreign Governmental Entity or department, agency or instrumentality thereof, or for or on behalf of any public international organization or any political party; or (iv) any party official or candidate of any party, excluding, in each case, any official of the government of the United States.

  • Employee understands that Employee may not directly or indirectly offer, promise, grant, or authorize the giving of money or anything else of value to a Foreign Government Official to influence official action, obtain or retain business, or secure an improper advantage.

  • Employee also represents and warrants that Employee will disclose to Employer if Employee or any member of Employee’s family is a Foreign Government Official.

  • The Manufacturer may not provide any entertainment or gifts to any Domestic Government Official or Foreign Government Official for or on behalf of the Purchaser or any of its Affiliates.

  • Specifically, each of RGI and Licensee agrees that, in connection with its respective activities under this Agreement, it will not offer, promise, authorize or otherwise act in furtherance of, or pay anything of value, directly or indirectly, to a Foreign Government Official, a foreign political party or party official, or any candidate for foreign political office, in violation of such anti-bribery and anti-corruption Laws.


More Definitions of Foreign Government Official

Foreign Government Official means officers and employees of any non-PRC national, regional, local, or other foreign government, any private person acting in an official capacity for or m behalf of any such non-PRC governmental entity (such as a consultant retained by a foreign government agency), officers and employees of companies in which a non-PRC government owns an interest, candidates for non-PRC political office at any level, non-PRC political parties and their officials, and officers, employees, or official representatives of public (quasi-governmental) international organizations (such as the United Nations, World Bank, or International Monetary Fund).
Foreign Government Official means any officer or employee of a foreign Government Entity or any department, agency, or instrumentality thereof, or of a public international organization, or any person acting in an official capacity for or on behalf of any such government or department, agency, or instrumentality, or for or on behalf of any such public international organization, or any political party, party official, or candidate thereof, excluding officials related to the government of the United States; and (ii) “Government Entity” means any foreign government, any political subdivision thereof, or any corporation or other entity owned or controlled in whole or in part by any government or any sovereign wealth fund, excluding entities related to the government of the United States.
Foreign Government Official means (i) any officer or employee of a foreign Governmental Entity or any department, agency or instrumentality thereof (including a state-owned or state-controlled entity); (ii) any officer or employee of a public international organization;
Foreign Government Official means: any officer or employee (including any person nominated or appointed to be an officer or employee) of a government or any department, agency or instrumentality of a government (including a government-controlled enterprise); any person acting in an official capacity on behalf of a government or any department, agency or instrumentality of a government; any officer or employee of a company or business owned in whole or part by a government; any officer or employee of a public international organization, such as the United Nations; any officer or employee of a political party or any person acting in an official capacity on behalf of a political party; and/or any candidate for political office.
Foreign Government Official is defined to include officers, office holders, and employees, full or part time, regardless of rank, of local governments, national governments, companies partially owned or controlled by a government, and public international organizations, such as the United Nations or World Bank. “Foreign Government Official” also includes political parties, party officials, candidates for public office, and family members of Foreign Government Officials. (i) “Good Reason” means the occurrence, on or after the occurrence of a Change in Control, of any of the following (except with Employee’s written consent or resulting from an isolated, insubstantial and inadvertent action not taken in bad faith and which is remedied by Employer or its Affiliate promptly after receipt of notice thereof from Employee): (i) Employer or an Affiliate reduces Employee’s Base Salary (as defined in Subparagraph 7(a) below); (ii) Employer discontinues its bonus plan in which Employee participates as in effect immediately before the Change in Control without immediately replacing such bonus plan with a plan that is the substantial economic equivalent of such bonus plan, or amends such bonus plan so as to materially reduce Employee’s potential bonus at any given level of economic performance of Employer or its successor entity; 5

Foreign Government Official means officers or employees of a foreign government or foreign political party, candidates for political office, or high-level employees of state-owned companies. In most cases, it also means family members and close business associates of government officials.
