Foundation Provided Materials definition

Foundation Provided Materials means (i) any animal species or model (e.g., mice, rats, etc.) (including progeny derived from inbreeding and crossbreeding of any such animal species or model and unmodified derivatives of any such animal species or model and their progeny) to be provided to the Company by, or on behalf of, the Foundation to enable the Company to perform the Research in the conduct of the Project and (ii) the physical samples of cell lines, compounds, reagents and other materials to be provided to the Company by, or on behalf of, the Foundation to enable the Company to perform the Research in the conduct of the Project, in each case that is (A) expressly identified as a Foundation Provided Material in the Project Description or (B) otherwise agreed upon by the Steering Committee and identified in the applicable mutually-approved Steering Committee meeting minutes as a Foundation Provided Material for the Project.
Foundation Provided Materials means, with respect to each Research Project, any (i) mice (including progeny derived from inbreeding and crossbreeding of such mice and unmodified derivatives of such mice and their progeny) or (ii) physical samples of cell lines, compounds, reagents and other materials that are specified in (A) the Detailed Research Project Description for such Research Project or (B) duly approved Steering Committee meeting minutes, in each case as materials that are to be provided to the Research Institution by, or on behalf of, the Foundation to enable the Research Institution to conduct the Research Project Activities as specified in the Research Project Description in the performance of such Research Project.
Foundation Provided Materials means the physical samples of cell lines, Foundation Provided Compounds, reagents and other materials (e.g. Target proteins) provided to Evotec by, or on behalf of, the Foundation to enable Evotec to perform the Services (any such items to be specified by the Foundation’s Services Manager and set forth in the applicable Steering Committee meeting minutes).

  • Genzyme shall not use or provide to Voyager any Foundation Provided Materials (as defined in the CHDI Agreement) in the course of performance of any R&D Activities under this Agreement without Voyager’s prior written approval or approval of the DAC.

  • The Research Institution is free to file patent application(s) claiming inventions made by the Research Institution through the use of the Foundation Provided Materials but agrees not to file any patent application containing a composition of matter claim for the Foundation Provided Materials per se.

  • Any Foundation Provided Materials and Foundation Provided Material Information provided to the Research Institution hereunder are understood to be experimental in nature and may have hazardous properties.

  • To the knowledge of the Foundation (after due inquiry and investigation), the use by Evotec of the Foundation Provided Compounds, Foundation Provided Compound Information, Foundation Provided Materials, Foundation Provided Material Information, Targets, Foundation Provided Methods and Processes and Foundation Provided Services Information in the performance of the Services pursuant to this Agreement will not infringe upon or misappropriate the Intellectual Property rights of any third party.

  • The Foundation shall be responsible for all aspects of acquiring and providing to Evotec sufficient amounts of the Foundation Provided Materials together with the Foundation Provided Material Information.

  • If Evotec becomes aware of any safety hazard that relates to any of the Assays, Services Compounds, Foundation Provided Compounds or any Foundation Provided Materials, Evotec shall promptly notify the Foundation of such safety hazard by providing all information in its possession or control concerning such safety hazard to the Foundation.

Foundation Provided Materials means the physical samples of cell lines, compounds, reagents and other materials, in each case as specified in the Project Description (i) to be provided to Isis by, or on behalf of, the Foundation or (ii) acquired by Isis from a third party at the express direction of the Foundation and for which the Foundation reimburses Isis in accordance with Section 5(a)(ii) of this Agreement, in each case to enable Isis to conduct the Project.
Foundation Provided Materials means the physical samples of cell lines, compounds, reagents and other materials, in each case as agreed upon by the Joint Research Committee to be provided to the Company by, or on behalf of, the Foundation to enable the Company to conduct the Research Project.

Related to Foundation Provided Materials

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.
