FT Units definition

FT Units has the meaning ascribed to such term on the face page of this Agreement;

FT Units means the flow-through units of the Company issuable upon the conversion of the FT Subscription Receipts, each of which will be comprised of one FT Share and one Warrant.

FT Units means the flow-through units of the Company offered pursuant to the Offering, each FT Unit consisting of one Flow-Through Share and one FT Unit Warrant.

Examples of FT Units in a sentence

• The Agent shall arrange for the purchase of the FT Units pursuant to the Offering in the Offering Jurisdictions in accordance with the terms of this Agreement, in such a manner so as not to require registration thereof or filing of a prospectus, registration statement or similar disclosure document or imposing on the Company any additional continuous reporting obligations under any Canadian Securities Laws, all in compliance with such Canadian Securities Laws on a private placement basis.

• The issuance and sale of the FT Units shall be completed at the Closing Time at the offices of Xxxxxxx Xxxxx LLP, Toronto, Ontario or at such other place as the Agent and the Company may agree upon.

• At the Closing Time, the Company shall, subject to the terms and conditions of this Agreement, duly and validly deliver to the Agent by way of electronic deposit or certificates in definitive form, registered as directed by the Agent, the FT Unit Shares and FT Warrants in the City of Toronto, against payment at the direction of the Company of the aggregate FT Unit Price for the FT Units in lawful money of Canada.

• The Agent may discharge its payment obligations under this Section 5 by the transfer of funds by electronic wire transfer from the Agent to the Company’s designated bank account, which shall be a bank account in Canada, equal to the aggregate FT Unit Price for the FT Units.

FT Units has the meaning ascribed thereto on the face page of this Agreement; “FT Unit Price” has the meaning ascribed to it on the face page of this Agreement;
