In no event shall the Contractor make application for a Functional Completion Certificate until the Work has successfully passed or completed all applicable tests and inspections under the Inspection and Test Plan and any applicable Performance Tests.
The Contractor may apply by notice to the Owner’s Representative for a Functional Completion Certificate not earlier than 14 days before the Work or a System will, in the Contractor’s opinion, be complete and ready for taking over by the Owner.

If the Contract or any part of the Work is terminated pursuant to Article 35 - Termination for Convenience or Article 36 - Termination for Cause, then Article 23 - Warranty shall survive such termination, and the Warranty Period, with respect to the Work or System which has received a Functional Completion Certificate, shall remain in effect notwithstanding the termination of this Contract.
The Functional Completion Certificate is issued when the Owner takes over the Work and, as of the date in the Functional Completion Certificate, the care, custody, and control of the Work is handed from the Contractor to the Owner.
