Funding Certificate means a certificate of an Authorized Officer of the Borrower with knowledge of the Modifications, certifying that (i) there are sufficient funds to pay the projected capital expenditures required to complete the Modifications and (ii) the Modifications are reasonably expected to achieve commercial operation before the later to occur of (x) the date on which the first liquefaction train of the Liquefaction Facility is ready to commence commissioning and (y) June 30, 2016.
