Holdings Equity Awards definition

Holdings Equity Awards means, collectively, Holdings Options, Holdings RSU Awards, and Holdings MSU Awards.
Holdings Equity Awards means Holdings RSUs, Holdings PSUs and Holdings Options (or other Equity Interests granted as compensation or otherwise in respect of service) calculated in a manner that is consistent with the methodology for determining Fully Diluted Holdings Common Shares.

Examples of Holdings Equity Awards in a sentence

  • Unless prohibited by applicable Law, following the Effective Time (a) the Lumentum Group shall be solely responsible for all income, payroll and other tax remittance and reporting related to income recognized by holders of Holdings Equity Awards in respect of their Holdings Equity Awards; and (b) Viavi shall be solely responsible for all income, payroll and other tax remittance and reporting related to income recognized by holders of Viavi Equity Awards in respect of their Viavi Equity Awards.

  • To the extent necessary for any such Holdings Equity Awards to qualify for transitional relief under Treasury Regulation Section 1.162-27(f)(4)(iii), the JDSU Compensation Committee shall take the necessary action to approve the Holdings Equity Plan and the Holdings Equity Awards.

Related to Holdings Equity Awards

  • Company Equity Awards means the Company Stock Options and the Company Restricted Stock Units.

  • Company RSU Award means any award of restricted stock units or performance stock units outstanding under the Company Stock Plans.

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

  • PSU means Public Sector Undertaking

  • Company Equity Plans means any stock option, stock incentive, stock purchase or other equity compensation plan, sub-plan or non-plan agreement sponsored or maintained by the Company or any Subsidiary or controlled Affiliate of the Company or to which any such entity is a party.
