Incyte Technology definition

Incyte Technology means, collectively, Incyte Know-How and Incyte Patent Rights.
Incyte Technology means all technology owned by Incyte, including, but not limited to, all patents, patent applications, technical information, data, materials, apparatuses, know-how and other proprietary rights, including the Research Information, Gel-Based Sequencing Technology, Technology Improvements, Gene Products provided by Incyte to OncorMed, Gene Product Inventions, the LifeSeq Database and Transcript Imaging analysis technology, proprietary to Incyte, which, on the Effective Date of this Agreement, or at any time during the term of this Agreement, Incyte owns or has a right to license. Incyte Technology shall not include Collaborative Inventions.
Incyte Technology means any protocols, training materials and computer software listed in Exhibit A to this Agreement and associated source code (specifically including the GEMtools client, Material Manager, GEM Explorer, and Online Courier packages), in the form used by Incyte in connection with the conduct of microarray fabrication and gene expression service businesses in Fremont, California and St. Louis, Missouri, as of the date of the technology transfer activities described in Article 3 of this Agreement, which relate to (a) sample storage and tracking; (b) LIMS systems; (c) microarray manufacturing protocols; (d) hybridization protocols; (e) quality control and quality assurance protocols; (f) microarray scanning protocols; and (g) data analysis.

Examples of Incyte Technology in a sentence

  • No implied right or license is granted to OncorMed to utilize the Incyte Technology in a manner not expressly included within the scope of the licenses granted pursuant to this Agreement.

  • OncorMed may not transfer any Incyte Technology to any Third Party for any purpose.

  • Except as provided herein, the filing, prosecution, maintenance and enforcement of patent(s), copyrights, and other proprietary rights regarding the Incyte Technology shall be the responsibility of, and at the discretion of Incyte.

  • Upon mutual agreement of Incyte and GHI, GHI employees may also visit Incyte facilities for such periods as GHI and Incyte may agree to observe Incyte’s use of the Incyte Technology.

Incyte Technology means Technology that is or was (a) invented by officers, employees or agents of, or consultants to, Incyte or any of its Affiliates, alone or jointly with Third Parties, at any time outside of the Research Program or (b) acquired by purchase, license, assignment or other means from Third Parties by Incyte or any of its Affiliates, alone or jointly with Third Parties, at any time outside of the Research Program; provided that ***, then *** if (x) Incyte and all of its Affiliates comply with the provisions of *** and (y) ***.

Incyte Technology means all Technology of INCYTE including Database Information and Incyte Database Products, software developed by INCYTE for analysis and storage of data generated using LifeChip Products and not charged as Operating Expenses, DNA sequence information, DNA Sequence(s), DNA Sequence Set(s), Annotation Information, information relating to gene products and/or proteins relating thereto and INCYTE applications thereof, and INCYTE information relating thereto, and INCYTE's high throughput DNA sequencing or analysis technology, including transcript imaging technologies, proprietary to INCYTE at the time provided to AFFX which, on the Effective Date of this Agreement or at any time during the term of this Agreement, INCYTE owns or has a right to grant license; provided, however, that INCYTE Technology shall exclude LifeChip Inventions.
Incyte Technology means Intellectual Property Rights claiming or covering the use of the Microbial Dataflow Software to the extent owned or controlled by Incyte and which Incyte has an unrestricted right to license without obligation of payment to a third party.
