Initial Share Value definition

Initial Share Value means the average of the Closing Prices of the shares of common stock of the Company for the period commencing on the 180th day prior to the date of the Change of Control and ending on the 150th day prior to the date of the Change of Control;
Initial Share Value means the average closing price of a company’s common equity for the period January 1, 2016 through March 7, 2016 as reported on the principal national securities exchange on which such common equity is listed.
Initial Share Value shall have the meaning ascribed thereto in section 2.4 hereof.

  • No later than thirty (30) days following a Vesting Event, the Company shall provide written notice to the Holder setting forth the Initial Share Value, the XXX, the XXX Percentage, the number of DPAs that vested on the applicable Vesting Event, if any, and, if such Vesting Event is the Final Vesting Event or occurs pursuant to Section 3.3(d), the number of DPAs that were forfeited without consideration or payment on such Vesting Event.

More Definitions of Initial Share Value

Initial Share Value means the average closing price of a company’s common equity over the thirty (30) Trading Days ending on April 3, 2017 as reported on the principal national securities exchange on which such common equity is listed.
Initial Share Value means (i) at any time prior to an IPO, the fair market value of an Initial Share as determined by a third party valuation expert (who shall be a nationally recognized firm of valuation experts selected by the Board in its discretion), (ii) at the time of an IPO, the offering price per share of Common Stock to the public in the IPO (the “IPO Price”) and (iii) at any time after an IPO, the average of the closing price of a share of Common Stock on the principal stock exchange on which it is listed during the twenty (20) trading days immediately preceding the relevant date for which Initial Share Value is being determined (or all of the trading days following the IPO plus the IPO Price if the IPO occurred within less than twenty (20) trading days prior to the determination of Initial Share Value); provided, that if the Optionee disagrees with the determination of Initial Share Value pursuant to clause (i) in connection with the measurement of XXX on an XXX Measurement Date solely for purposes of Section 3.5(d) following the termination of the Optionee’s employment due to a Qualifying Termination or Retirement, the Optionee may require that the Company engage a different third party valuation expert (who shall also be a nationally recognized firm of valuation experts selected by the Board in its discretion) to conduct an appraisal of the Initial Shares and the XXX for such XXX Measurement Date shall be based upon the Initial Share Value as determined by such appraisal (the “Appraised Initial Share Value”); provided, further, that if the Optionee requires an additional appraisal pursuant to the immediately preceding proviso: (A) if the Appraised Initial Share Value is equal to or less than 110% of the Initial Share Value as determined by the initial third party valuation expert, the Optionee shall bear all of the costs and expenses associated with such appraisal, and (B) if the Appraised Initial Share Value is greater than 110% of the Initial Share Value as determined by the initial third party valuation expert, the Company shall bear all of the costs and expenses associated with such appraisal. Initial Share Value means, with respect to shares of Series B Preferred Stock, the "Initial Share Value" of such shares as defined in the Certificate of Designation, Preferences and Rights of the Series B Preferred Stock, and with respect to shares of Series C Preferred Stock, the "Initial Share Value" of such shares as defined in the Certificate of Designation, Preferences and Rights of the Series C Preferred Stock.
