Joint Release Instruction definition

Joint Release Instruction means the joint written instruction executed by an authorized signer of each of Integral 1 and a Funding Party directing the Escrow Agent to disburse all or a portion of the Escrow Funds, as applicable.
Joint Release Instruction means the joint written instruction of Buyer and Holdings, which is executed by Buyer and Holdings, to the Escrow Agent directing the Escrow Agent to disburse all or a portion of the Escrow Fund, as applicable.
Joint Release Instruction means the joint written instruction executed by an authorized signer of each of the Sponsor and the Parent directing the Escrow Agent to disburse all or a portion of the Escrow Property, as applicable.

Examples of Joint Release Instruction in a sentence

  • Upon receipt by the Escrow Agent of a Joint Release Instruction, the Escrow Agent shall promptly, but in any event within two (2) Business Days after its receipt of such Joint Release Instruction, disburse all or part of the Escrow Fund in accordance with such Joint Release Instruction, which may be to Buyer or Seller as set forth in the Joint Release Instruction.

  • The Escrow Agent may rely in good faith upon and shall not be liable in the absence of its fraud, gross negligence or willful misconduct for acting or refraining from acting upon any Joint Release Instruction, a Notice of Consummation, Final Determination, or Request furnished to it in accordance with the terms hereof and reasonably believed by it in good faith to be genuine and to have been signed by an Authorized Representative of the proper Party or Parties.

Joint Release Instruction means a joint written instruction of Parent and the Selling Securityholders’ Representative, which is executed by Parent and the Selling Securityholders’ Representative, to the Escrow Agent directing the Escrow Agent to disburse all or a portion of the Escrow Fund. In making any payments, the Escrow Agent (and the Paying Agent) shall rely upon the wire instructions and tax forms that it shall collect from (i) Parent pursuant to this Agreement and (ii) the Selling Securityholders pursuant to the Paying Agent Agreement, as applicable.
Joint Release Instruction means a joint written instruction of Parent and HL Representative, which is executed by Parent and HL Representative, to the Escrow Agent directing the Escrow Agent to release all or a portion of the Escrow Account, as applicable.
