Key Client definition

Key Client shall have the meaning set forth in the letter agreement, dated as of the date hereof, among the Parent, the Merger Sub and the Company, relating to certain Advisory Agreements.
Key Client means any underwriter, producing intermediary or insured client of the Group Companies which in the 12 months to 28 February 2014 generated aggregate revenue for the Group Companies in excess of £90,000;
Key Client means any client or affiliate partner from which the relevant party earns $(***) or more in annual gross revenue, and (ii) ”Competitive Bid Opportunity” means a commercial agreement between the Key Client and Supplier or Client (as the case may be) that is due to expire and such Key Client is actively exploring alternatives by requesting proposals from and/or distribution requests for proposals to third parties. Each of Supplier and Client will provide to the other a list of its Key Clients as soon as reasonably practicable and thereafter will provide an updated list, as soon as reasonably practicable upon written request of the other party, semi-annually until December 31, 2010.
