Key Management Team definition

Key Management Team means the following Persons of the Company : (a) Persons occupying the office of chief executive officer, chief operating officer, chief information; officer, chief financial officer, chief technology officer, chief marketing officer and such other offices held by the Promoters; (b) Employees who report directly to the chief executive officer, chief technology officer, chief operating officer, chief information officer, chief financial officer, chief marketing officer and such other offices held by the Promoters.

Key Management Team means the management team of the Company responsible for the day- to-day operations of the Company, consisting of Xx. Xxxxxx Xxxxxxx, Chief Executive Officer, and Mr. Xxxxx Xxxx, Chief Financial Officer of the Company;

• Subject to the provisions of Sections 5 and 6, the Executive shall be eligible to earn an annual bonus for 2007 and each full calendar year thereafter during the Employment Period (the “Annual Bonus”), the amount of which shall be based upon performance targets or such other criteria that are determined by the Board or the Committee pursuant to the provisions of the Company’s Key Management Team Incentive Compensation Plan ( the “Incentive Plan”) in effect for the applicable calendar year.

• In consideration of the contribution of the Required Investment to Moon Sub, the Key Management Team and the Additional Employees will receive equity interests in Moon Sub (the “Equity Interests”) having the same terms as the Equity Interests issued to Moon.

More Definitions of Key Management Team

Key Management Team means the CenterPoint Management Team and up to ten (10) other senior executives of CenterPoint who enter into new employment agreements with the Company and CenterPoint effective at the Effective Time.

Key Management Team means the management team of the Company consisting of the Chief Executive Officer (CEO), the Chief Financial Officer (CFO), the Chief Technical Officer(CTO) and the Chief Operating Officer(COO), as appointed from time to time, including any persons discharging the roles and powers substantially similar to the aforesaid persons, notwithstanding their designations or any other functional head or departmental head and any other employee of the Company or its Subsidiaries with an annual cost to company of at least INR 2,500,000 (Indian Rupees Two Million Five Hundred Thousand) per annum.
