Licensed Modules definition

Licensed Modules means each of the software modules licensed by Customer pursuant to an Order Form and any Upgrades, Updates or Corrections provided thereto.

Licensed Modules means (i) all of the software module(s) specified in Schedule 1 to this SWLA, consisting programs containing a series of instructions or statements in machine-readable object code form; (ii) any revisions or updates provided by Licensor to the Licensee, pursuant to this SWLA; and (iii) the Module Documentation as defined herein. It is understood that the Licensed Modules listed on Schedule 1 consist of Licensor’s proprietary software and certain third party software. Third party licensed software is licensed by Licensor to Licensee subject to all of the terms and conditions of the software licensing arrangements between Licensor and the respective third parties.

Licensed Modules means any distinct modules of the Platform that Personify Care has agreed to license to the Customer from time to time (including pursuant to clause 11.4), which may include Personify Patient Care, Personify Discharge, Personify Connect and/or Personify Connect Lite or any other modules that Personify Care may develop. Examples of Licensed Modules in a sentence

  • Notwithstanding the foregoing, Licensee hereby agrees that Licensee shall not disclose any Confidential Information related to the Licensed Modules or Module Documentation including, but not limited to, any flow charts, logic diagrams, user manuals or display screens, to any person except its employees on a “need to know basis,” without the prior written consent of Licensor.

  • Licensee assumes risk of loss to the Licensed Modules as of the Delivery Date.

  • Notwithstanding anything to the contrary contained herein, Licensee shall have the right to create a non-production operating environment solely for the purpose of testing and development of the Licensed Modules.

  • In the event of any termination of this SWLA or any license granted to Licensee hereunder, Licensor may: (i) declare all amounts owed to Licensor hereunder or otherwise to be immediately due and payable; (ii) require that Licensee cease any further Use of the Licensed Modules or any portion thereof and immediately return the same and all copies thereof, in whole or in part, to Licensor; and (iii) cease performance of all of Licensor’s obligations hereunder without liability to Licensee.

  • Licensor shall maintain a copy of the source code for the Licensed Modules with a third party as provided under the terms of that certain Technology Escrow Agreement between the parties hereto of even date herewith.

  • If a refund is made, Licensee will deliver the Licensed Modules and the Module Documentation to Licensor, including all media containing the original Licensed Modules and all related Module Documentation and certify to Licensor that Licensee has erased or destroyed all back-up copies.

  • The Term “Module Documentation” means the user manuals, handbooks and other written or electronic materials relating to the Licensed Modules provided by Licensor to the Licensee pursuant to these Terms.

  • Such non-production operating environment shall support bug investigation and resolution along with the testing of the Licensed Modules.

  • The term “Defect Notice” shall mean that certain written notice from Licensee to Licensor identifying discrepancies between the actual performance of the Licensed Modules and the performance of the Licensed Modules represented in the Module Documentation.

  • The Licensed Modules shall be deemed accepted by Licensee on delivery.

Related to Licensed Modules

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Manufacturing Technology means any and all patents, patent applications, know-how, and all intellectual property rights associated therewith that are owned or controlled by Licensor, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno-associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Hemp products means all products made from industrial hemp,

  • Licensed System means, collectively:

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Field of Use means all fields of use.

  • Licensed Field of Use means all fields.

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of Xxxxxx Corp. II during the term of the Development Agreement.

  • Product Technology means the Product Know-How and Product Patents.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Licensed Services means all functions performed by the Licensed System.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Licensed producer means an agent, broker, or reinsurance intermediary licensed pursuant to the applicable provision of the insurance law of any jurisdiction.

  • Licensed User means an employee, contractor or agent of Client who is authorized by Client to access and use the Licensed Software, to whom a password and user ID has been issued by Client and whose access to the Licensed Software has not been terminated, suspended or surrendered.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Licensed Know-How means any and all unpatented and/or non-patentable technical data, documents, materials, samples and other information and know‐how that is Controlled by LICENSOR or any of its Affiliates as of the Effective Date or thereafter during the Term that relates to, or is otherwise reasonably necessary or reasonably useful for, the use, Development, manufacture, or Commercialization of the Product. Licensed Know-How shall not include Licensed Patents.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Licensed Programs means, collectively, NeoSystems’ and any Third Party Vendor computer software programs to be provided to Client for use on certain hardware on Client’s premises or a third party’s premises as set forth in an Agreement. The Licensed Programs shall include any fixes, work-arounds, updates, revisions, modifications, enhancements and any derivative works that are provided to Client by NeoSystems under an Agreement.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.
