Licensee Model definition

Licensee Model means the model used as input in the Licensed Program and whose purpose is to model, simulate and/or control systems. LPT (or Licensed Programs Terms) are a set of terms of the Agreement, specific to a Release of a Licensed Program, at xxxx://xxx.0xx.xxx/terms/lpt. Machine means computer equipment i) belonging to Licensee or under its sole control or supervision, ii) located on Licensee’s premises (provided when applicable that employees of Licensee may occasionally use laptop computers outside Licensee’s premises) and iii) on which a Licensed Program is executed. Maintenance Delivery means a periodic delivery of a Licensed Program which mainly includes the correction of Error(s) for a given Release, if and when made generally available to the market. Master Site means the single site designated by Licensee, which may be changed by written notification to DS or VAR as applicable, through which all deliveries and Support Service will be provided. Modelica Library means a model library of reusable component(s) for the modeling of physical and/or technical system(s) largely but not exclusively written in any version of the Modelica language i.e. the language as defined by the language specification of the Modelica Association.

  • Notwithstanding any term or condition of the Agreement with Dassault Systèmes, Dassault Systèmes shall have no obligation whatsoever to defend, hold harmless or indemnify Licensee against any claim arising out of or in any way relating to the distribution or redistribution, directly or indirectly, including as part of any services, of the Value Added Technology in whatever form (including, without limitation, such as included in a Licensee Model, a Binary Output File or a Licensee Application).

  • Binary Model Export Option means an option of the Licensed Program that will allow Licensee to generate Binary Output Files.Binary Output File means output generated by the Binary Model Export Option in the form of an application which may operate independently from any other application and based on the Licensee Model.

Related to Licensee Model

  • Licensor Technology means the Licensor Patents, the Licensor Know-How, Licensor Materials, Product IP, and Licensor’s rights in the Program IP and Joint Patents.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Licensed Technology means the Licensed Know-How and Licensed Patents.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Licensee has the meaning set forth in the preamble.

  • Licensee Data means, other than Resultant Data, information, data and other content, in any form or medium, that is collected, downloaded or otherwise received, directly or indirectly from Licensee or an Authorized User by or through the Services.

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • Licensor means the copyright owner or entity authorized by the copyright owner that is granting the License.

  • Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Hemp products means all products made from industrial hemp,

  • the Licensee means the person(s) named in the licence.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Licensed producer means a person or entity licensed to produce medical cannabis.

  • Licensee Know-How means all Information that is: (a) Controlled by Licensee or its Affiliates as of the Effective Date or during the Term that is not publicly known, even though parts thereof may be known, and (b) necessary to develop, make, have made, use, sell, offer to sell, have sold, import or export the Product. “Licensee Know-How” does not include Licensee Patent Rights.

  • BMS means the Company, all related companies, affiliates, subsidiaries, parents, successors, assigns and all organizations acquired by the foregoing.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Licensed User means an employee, contractor or agent of Client who is authorized by Client to access and use the Licensed Software, to whom a password and user ID has been issued by Client and whose access to the Licensed Software has not been terminated, suspended or surrendered.
