Licensee Modifications definition

Licensee Modifications means all Derivative Works and modifications to the Source Materials made by or for Licensee, including without limitation all Modifications authorized under Section 2.9(b), and all OS Developments made by or for Licensee, but expressly excluding Derivative Works of or modifications to Source Materials that the parties have agreed in writing Licensee or Handspring will own, including, without limitation, those described in Section 10.7 (Exception for Certain Licensee Modifications).
Licensee Modifications means all or any modifications to the Licensed Materials made by or on behalf of Licensee. For purposes of clarification, however, MIPS acknowledges and agrees that Licensee is under no obligation to deliver Licensee Modifications; rather, this definition is intended solely to provide a freedom to use such modifications when created independently by MIPS or any sublicensee thereof.
Licensee Modifications shall have the meaning ascribed thereto in Section 9.5 of the License Agreement.

Examples of Licensee Modifications in a sentence

  • In this regard, Licensee will ensure that Licensee’s employees, agents and subcontractors appropriately waive any and all claims and assign to PalmSource any and all interest, right and title in and to the Licensee Modifications, worldwide, including, without limitation, the copyright, patent and trade secret rights associated therewith (except for the limited inalienable moral right under French law as described above if such French law is applicable).

  • Licensee hereby agrees to assign to PalmSource ownership of all such Licensee Modifications in accordance with Section 10.6 (Further Assurances).

  • During and after the term of this Agreement, Licensee will assist PalmSource in every reasonable way, at PalmSource’s expense, to defend, maintain, perfect, register and secure for PalmSource’s benefit all copyrights, patent rights, mask work rights, trade secret rights, and other proprietary rights in and to the Licensee Modifications.

  • With respect to patent rights based on Licensee Modifications which are assigned to PalmSource by Licensee, if Licensee desires for PalmSource to file a patent application or maintain a patent for a particular invention even though ownership has been assigned to PalmSource, Licensee may request to discuss such matter with PalmSource in good faith.

  • Licensee will use at least the same level of efforts to avoid infringement of any third party patents by Licensee Modifications and Licensee Related Works incorporated into any OS Developments that it uses for development of its own products, but no less than reasonable efforts.


More Definitions of Licensee Modifications

Licensee Modifications means any of the following: (i) any change to Licensed Software, Reference Designs or Support Materials developed by or for LICENSEE under this Agreement, and (ii) other software developed by or for LICENSEE under this Agreement for use with Licensed Software or using any application programming interfaces in Licensed Software, where such changes as described in (i) or other software as described in (ii) are limited for use in or with Components, LICENSEE Product or a PKLA Product Kit. “LICENSEE Modifications” does not include any software, including any change to Licensed Software, developed for LICENSEE by QTIL or its Affiliates.
Licensee Modifications means any additions, modifications, corrections, repairs, translations, enhancements, and other derivative works and improvements that Licensee makes or has made on its behalf from or to the Licensed Platform, Licensor Modifications, or Intellectual Property Rights contained therein, on or after the Clone Date. For the avoidance of doubt, Licensee Modifications shall also include any additions, modifications, corrections, repairs, translations, enhancements, and other derivative works and improvements that Licensee subsequently makes to any Licensee Modifications or Intellectual Property Rights contained therein.
Licensee Modifications means all fixes, changes, additions enhancements and modifications made by Licensee to the Software as permitted herein and which do not constitute Joint Enhancements.
Licensee Modifications means any of the following: (i) any change to the Snapdragon Spaces Developer Platform or Support Materials developed by or for LICENSEE under this Agreement, and (ii) other software developed by or for LICENSEE under this Agreement for use with the Snapdragon Spaces Developer Platform or using any application programming interfaces in the Snapdragon Spaces Developer Platform, where such changes as described in (i) or other software as described in (ii) are limited for use in or with Components, LICENSEE Product or a the Snapdragon Spaces Developer Platform. “LICENSEE Modifications” does not include any software, including any change to the Snapdragon Spaces Developer Platform, developed for LICENSEE by QTIL or its Affiliates.
Licensee Modifications means any change, enhancement or addition created by Licensee to that portion of Software provided in source code form.
Licensee Modifications means additions to the Standard Software which change its utility, efficiency, functional capability, or application but which do not alter its basic features and functionality which are (i) developed by or for Licensee without JDA's assistance (provided Licensee is granted the right to use the source code), (ii) are not developed by JDA, and (iii) either operate as a free standing module or set of instructions, or add a new function to the Standard Software.
