Long Stop Dates definition

Long Stop Dates means the dates set out in the Press Announcement by which, the Shire Meetings must be held, the Sanction Hearing must be held and the Scheme must become Effective (or such other later dates, in respect of any of such dates, as may be agreed by AbbVie, New AbbVie and Shire in accordance with the Code);
Long Stop Dates means the long stop dates for the milestones within the Delivery

Long Stop Dates. If, other than by reason of Force Majeure or default by KPLC: (a) the Seller has not commenced the Appraisal Works by the Long Stop Appraisal Works Start Date; or (b) the Seller failed to achieve the Early Generation Commercial Operation Date by the Early Generation Long Stop Commercial Operation Date; or (c) where, pursuant to the results of the Appraisal Works under Clause 5, it has been determined that the Reservoir can support a Contracted Plant Capacity of at least twenty-eight (28) MW, the Seller has not commenced construction of the Plant by the Long Stop Construction Date; or (d) where, pursuant to the results of the Appraisal Works under Clause 5, it has been determined that the Reservoir can support a Contracted Plant Capacity of at least twenty-eight (28) MW, the Full Commercial Operation Date has not occurred by the Long Stop Full Commercial Operation Date, KPLC may terminate this Agreement by notice to the Seller within two (2) months of the occurrence of the relevant Long Stop Date. Such termination shall be without prejudice to any rights accrued due to either party at the date of termination.

Related to Long Stop Dates

  • Long Stop Date has the meaning set forth in Clause 4.3.2;

  • Ownership Percentage with respect to any Member means the percentage of ownership of a Member determined by taking the total Capital Units held by such Member divided by the aggregate total number of issued and outstanding Capital Units.

  • Scheduled Closing Time means, in respect of an Exchange or Related Exchange and a Scheduled Trading Day, the scheduled weekday closing time of such Exchange or Related Exchange on such Scheduled Trading Day, without regard to after hours or any other trading outside of the regular trading session hours.

  • Investment Agreements has the meaning set forth in the Recitals.

  • Investment End Date : means 11 November 2022, or if such day is not a Scheduled Trading Day, the following day which is a Scheduled Trading Day.
