Marketing Services Fee definition

Marketing Services Fee means the marketing services fee of 1.00% of gross proceeds from the sale of Shares sold under this prospectus by all registered dealers, including the Agent, during the term of the Agency Agreement, paid to the Agent as remuneration for distribution services being provided by the Agent to the Fund; provided that such fee relating to sales of the F Series will remain unearned until such time that $5.0 million in gross proceeds is raised from the F Series.
Marketing Services Fee means the marketing services fee of 1.25% on the first $10 million of gross proceeds from the sale of Shares sold by all registered dealers, including the Agent, during each calendar year, 1.00% on the next $10 million of gross proceeds from the sale of Shares sold by all registered dealers, including the Agent, during each calendar year, and 0.75% on any additional gross proceeds from the sale of Shares sold by all registered dealers, including the Agent, during each calendar year, paid to the Agent as remuneration for distribution services being provided by the Agent to the Fund; provided that such fee relating to sales of the F Series will remain unearned until such time that $5.0 million in gross proceeds is raised from the F Series.
Marketing Services Fee means the fee for marketing services provided to T.F.M. by Xxxxxx Holdings, as established under the Advisor Agreement.

Examples of Marketing Services Fee in a sentence

  • At the sole cost and expense of Hotel Manager or Owner, Hotel Manager or Owner may at any reasonable time review or audit the records of Golf Manager pertaining to the National Marketing Services Fee under this provision to confirm Golf Manager’s compliance with the foregoing.

  • If any time Hotel Manager determines (subject to Owner’s approval rights set forth in the Resort Management Agreement) that any or all National Marketing Services provided by Golf Manager are not in the best interests of the Resort or are duplicative of services provided by Hotel Manager or others, Hotel Manager may elect to withdraw the Resort from the program therefor and the National Marketing Services Fee shall be adjusted accordingly.

  • The Marketing Services Fee shall be paid in January of each year for the services rendered in the previous year.

  • HTBC shall also pay to CPNM a Marketing Services Fee in the amount of fifteen percent (15%) of the Net Profits of HTBC per year beginning in 1998 and thereafter during the existence of this Agreement (the "Marketing Service Fee").

Related to Marketing Services Fee

  • Services Fee means, collectively, the Senior Services Fees and the Subordinated Services Fees.

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Marketing Fee means the fees paid by Home Credit to Dealer/Provider to support the use of Home Credit’s Product;

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • Program services means services that include all of the following provided they are pursuant to a program agreement: program needs assessment and development, job task analysis, curriculum development and revision, instruction, instructional materials and supplies, computer software and upgrades, instructional support, administrative and student services, related school to career training programs, skill or career interest assessment services and testing and contracted services.

  • Auditing Services means those services within the scope of the practice of a certified public accounting firm licensed under Chapter 473 of the Florida Statutes, and qualified to conduct audits in accordance with government auditing standards as adopted by the Florida Board of Accountancy.

  • Marketing Costs which means such reasonable charge for marketing of ores and concentrates sold or of concentrates tolled as is consistent with generally accepted industry marketing practices;

  • Monitoring Services shall have the meaning set forth in Section 2(b) of this Agreement.

  • Technical Support Services means the technical support and maintenance Services provided by us according to our then-current technical support policy and procedure listed at xxxxxxxxxxxxx.xxx (“Technical Support Policy”) when the Services are purchased.

  • Engineering Services means infrastructure for –

  • Manufacturing Services means the manufacturing, quality control, quality assurance, stability testing, packaging, and related services, as set forth in this Agreement, required to manufacture Product or Products using the Active Materials, Components, and Xxxx Back Items;

  • Multiphase professional services contract means a contract for the providing of professional

  • Processing Services means those services which are necessary to issue and service a Card and process a Transaction in accordance with Applicable Law.

  • Technical Services means all services that are necessary to carry out individual, scattered site activities including but not limited to: (1) conducting initial inspections, (2) work write-up or project specification development, (3) cost estimate preparation, (4) construction supervision associated with activities that do not require an architect or engineer, (5) lead hazard reduction or lead abatement need determination and oversight, (6) lead hazard reduction or abatement carrying costs, (7) temporary relocation coordination, (8) financing costs such as security agreement preparation and recording or filing fees, (9) processing of individual applications for assistance, (10) income eligibility determination and verification, (11) value determination (new construction) or after rehabilitation value determination (existing structures), and (12) project-specific environmental clearance processes.

  • Advertising Services means the advertising services selected on the front pages of this Agreement.

  • Marketing program means a program established by order of the director pursuant to this act prescribing rules and regulations governing the marketing for processing, distributing, selling, or handling an agricultural commodity produced in this state or agricultural commodity input during a specified period and

  • Hosted Services means the hosting, management and operation of the computing hardware, ancillary equipment, Software, firmware, data, other services (including support services), and related resources for remote electronic access and use by the State and its Authorized Users, including any services and facilities related to disaster recovery obligations.

  • Contracted Services means covered services that are to be provided by the Contractor under the terms of this Contract.

  • Development Fee means a fee for the packaging of a Property, including negotiating and approving plans, and undertaking to assist in obtaining zoning and necessary variances and necessary financing for the Property, either initially or at a later date.

  • Technical Services Agreement means the Technical Services Agreement between Sabine Pass Liquefaction, LLC and Contractor, dated May 3, 2013 and any amendments thereto.

  • Child support services means any civil, criminal or administrative action taken by the Division of

  • Related Services means the services incidental to the supply of the goods, such as insurance, delivery, installation, commissioning, training and initial maintenance and other such obligations of the Supplier under the Contract.
