Member Schedule definition

Member Schedule means the schedule attached hereto (and hereby incorporated in this Agreement) as Annex I, as amended, restated, supplemented or otherwise modified from time to time.

Member Schedule has the meaning set forth in Section 3.1.

Examples of Member Schedule in a sentence

• In the event of any admission of a Substitute Member or Additional Member pursuant to this Section 3.02(a), this Agreement shall be deemed amended to reflect such admission, and any formal amendment of this Agreement (including the Member Schedule) in connection therewith shall only require execution by the Company and such Substitute Member or Additional Member, as applicable, to be effective.

• When any Units or other Equity Securities of the Company are issued, repurchased, redeemed, converted or Transferred in accordance with this Agreement, the Member Schedule shall be amended by the Managing Member to reflect such issuance, repurchase, redemption or Transfer, the admission of additional or substitute Members and the resulting Percentage Interest of each Member.

• The Member Schedule shall be amended by the Managing Member after the closing of the IPO and from time to time to reflect adjustments to the Members’ Capital Accounts made in accordance with Sections 5.02(a)(ii), 5.02(a)(iii), 5.02(a)(iv), 5.02(c) or otherwise.

• All notices, requests and other communications to any party hereunder shall be in writing (including facsimile transmission and electronic mail (“e-mail”) transmission, so long as a receipt of such e-mail is requested and received) and shall be given to such party at the address, facsimile number or e-mail address specified for such party on the Member Schedule hereto or to such other address or facsimile number as such party may hereafter specify for the purpose by notice to the other parties hereto.

• The Member Schedule shall be maintained by the Managing Member on behalf of the Company in accordance with this Agreement.

More Definitions of Member Schedule

Member Schedule means any and all of the schedules attached to this policy showing details of each member, particularly name, sum insured, age, date of birth, beneficiary and nominee.

Member Schedule means a schedule held and maintained by the Company at the offices of the Company reflecting all of the Members and each Member’s Membership Percentage, Units and Capital Account.

Member Schedule means a schedule to be kept by the Secretary, listing all of the Members, their respective mailing addresses, the Member Interests and associated Units currently held by each Member and the current Percentage Interests of each Member. The Member Schedule as of the Effective Date is attached hereto as Appendix II.

Member Schedule means a schedule signed by either the CEO or the Secretary of the Company and dated, that sets forth (A) the following information with respect to each Series A Member as of the date of such schedule: (i) the name and address of such Series A Member, the number of Series A Preferred Units owned by such Series A Member, (ii) the amount of the Capital Contribution made by such Series A Member with respect to each Series A Preferred Unit owned by such Series A Member, and (iii) the aggregate amount of the Capital Contributions made by such Series A Member with respect to all of the Series A Preferred Units owned by such Series A Member; (B) the following information with respect to each Series B Member as of the date of such schedule: (i) the name and address of such Series B Member, (ii) the number of Series B Preferred Units owned by such Series B Member, (iii) the amount of the Capital Contribution made by such Series B Member with respect to each Series B Preferred Unit owned by such Series B Member, and (iv) the aggregate amount of the Capital Contributions made by such Series B Member with respect to all of the Series B Preferred Units owned by such Series B Member; and (C) the following information with respect to each Common Member as of the date of such schedule: (i) the name and address of such Common Member, (ii) the number of Common Units owned by such Common Member, (iii) the amount, if any, of the Capital Contribution made by such Common Member with respect to each Common Unit owned by such Common Member, and (iv) the aggregate amount, if any, of the Capital Contributions made by such Common Member with respect to all of the Common Units owned by such Common Member. The Member Schedule is an integral part of this Agreement and shall be amended from time to time as provided in this Agreement. By signing the Member Schedule, the CEO or the Secretary, as the case may be, certify that the information set forth in the Member Schedule is true, correct and complete as of the date thereof.

Member Schedule has the meaning set forth in Section 4.1 of the LLC Operating Agreement.
