Migration Plan definition

Migration Plan shall have the meaning set forth in Section 2.12.

Migration Plan means the detailed document outlining the tasks, timelines, responsibilities, dependencies, milestones, and procedures for transitioning the services from CSG’s current service provider to Infocrossing.

  • No provision of this Agreement (including the Migration Plan) may be amended, supplemented or modified except by a written instrument signed by the Parties.

  • HLI and its Affiliates shall bear their own costs and expenses incurred in performing its obligations under the Migration Plan and shall reimburse Provider for all of the costs and expenses that are incurred by Provider and its Affiliates after the Effective Date in performing their obligations under the Migration Plan; provided, that each such reimbursable cost and expense in excess of $1,000 shall be pre- approved in writing by HLI.

  • The Migration Committee shall maintain appropriately detailed documentation and other records to the extent necessary to document implementation of the Migration Plan.

  • The Migration Plan shall include details related to the formation of a committee (the “Migration Committee”), the general purpose of which shall be to provide oversight for the Migration Plan.

  • Subject to Section 3.5 and Section 3.6, the Parties shall perform their respective obligations in the Migration Plan and shall use reasonable best efforts to achieve the milestones included in the Migration Plan in accordance with the relevant time frame set forth therein.

Migration Plan has the meaning set forth in the Transition Services Agreement.
Migration Plan means a detailed critical path migration plan that identifies the processes, timescales, milestones and safeguards for Migration, as well as the Migration Assistance to be provided by members of the Seller’s Group, and identifies the employees and third parties (including consultants, where known) (and their charge out rates or a bona fide estimate thereof if not known) that are anticipated to be retained or contracted with by the Seller and its Affiliates solely for the purposes of implementing the Migration Plan and/or providing services under the Transitional Services Agreement, as agreed in accordance with Clause 7.19 and as may be updated by the Parties from time to time. This plan shall also include a plan for Reverse Migration (as well as Reverse Migration Assistance (as each of these terms is defined in the Reverse Transitional Services Agreement)).
Migration Plan means the plan detailing the agreed process and timing for the migration of operational responsibility for the Services from the Seller to the Purchaser and the Group, including a breakdown of the respective parties’ responsibilities in respect of such process, as agreed by the parties in accordance with Clause 5.7.10;

Migration Plan means a detailed plan for the transition of all elements necessary and/or desirable for the management and control of the Properties, including without limitation each service provided under each of the TSAs.
