M&S Fees definition

M&S Fees means those fees that are applicable to the M&S as specified in a Quote/Order Form
M&S Fees all fees for the performance of M&S, including all actual Billable Expenses.
M&S Fees mean fees for Maintenance.

  • MSA may be terminated immediately upon written notice by either Party upon the material breach by the other Party of its obligations under this MSA (including non- payment of any M&S Fees), which breach has not been cured within thirty (30) days after the breaching Party has received written notice thereof.

  • The start date and accrual of the M&S Fees for all Software begins thirty (30) days from the Date of Delivery of the Software.

  • M&S Fees for Subscription Licences of the Software are included as part of the annual Subscription Fee.

  • DI reserves the right to suspend M&S where any M&S Fees or Subscription Fees are in default.

  • If the Province is required to pay the Monthly MS Fee in respect of any three consecutive months or any six months in a 12 month period, the Monthly MS Fee will be automatically reduced by the difference between the aggregate Monthly MS Fees paid or payable by the Province for that three month or 12 month period and the Fees for Maintenance and Support calculated at the applicable TM Rates set out in the MS SOW for that three month or 12 month period, on a going forward basis.

  • For each calendar month (or any prorated portion thereof) during which payment of the Production Fees, Professional Services Fees, M&S Fees, License Fees, or any other monies payable by Client under this Agreement is delinquent, a late fee of one and one-half percent (1.5%) of the amount due shall automatically be charged by M*Modal and due with such payment.

  • User also agrees to pay M&S Fees, Professional Service Fees and any other fees or charges listed on an Order or SOW (collectively, the “Additional Fees”).

Related to M&S Fees

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • Annual Fees means the annual fees charged by the Trustee for services provided as the trustee and paying agent under the Indenture.

  • Tax Fees means the aggregate fees billed in each of the last two fiscal years for professional services rendered by the Company’s external auditor for tax compliance, tax advice and tax planning.

  • L/C Fees has the meaning set forth in Section 3.4(c).

  • School Fees means the money payable by the Parent/s to the School in connection with a Student’s education, excluding any Enrolment Fee, Deposit or Additional Fees.

  • License Fees means all non-refundable fees payable by Licensee to OT with respect to the granting of Software Licenses; “License Model” means the description of the conditions, limitations and restrictions associated with the Software License which govern the use of the Software, as set out in the applicable License Model Schedule;

  • Admin Fees means the costs incurred by the Authority in dealing with MI Failures calculated in accordance with the tariff of administration charges published by the Authority;

  • Administration Fees The sum of (i) the Servicing Fee, (ii) the Master Servicing Fee and (iii) the Credit Risk Management Fee.

  • Services Fee means, collectively, the Senior Services Fees and the Subordinated Services Fees.

  • Sponsor Termination Fees means the one-time payment under the Sponsor Management Agreement of a termination fee to one or more of the Sponsors in the event of either a Change of Control or the completion of a Qualifying IPO.

  • Audit fees means the aggregate fees billed in each of the fiscal years listed for professional services rendered by our principal auditors for the audit of our annual financial statements.
