MVPD Subscribers definition

MVPD Subscribers means subscribers of Licensee who subscribe to and are authorized to receive the MVPD Licensed Service. For purposes of calculating License Fees, the following shall not be included as an MVPD Subscriber: (i) any Licensee employee or customary subscriber not charged for their monthly MVPD services (e.g., public employees, public buildings, schools); (ii) not more than 1% of MVPD Subscribers for any given month that fail to pay Licensee for the MVPD Licensed Service; and (iii) any MVPD Subscriber receiving the MVPD Service pursuant to a Free Trial.

MVPD Subscribers means subscribers who receivesubscribe to one or more of the following services from Licensee: cable multi-channel television (other than solely via the Internet), cable broadband internet service, home telephone service and/or home security services (collectively, the “MVPD Services”), and who are authorized by Licensee to receive the Licensed Service by Traditional System Means and/or, if verified in accordance with Section 2.8, by means of the Internet and who also receive another Licensee service. For purposes of calculating License Fees and reporting requirements herein, the following shall not be required to be included as an MVPD Subscriber: (i) any Licensee employee or subscriber not customarily charged by Licensee for the Licensed Service (e.g., public employees, public buildings, schools); and (ii) any subscriber of Licensee receiving the Licensed Service pursuant to a Free Trial.

Examples of MVPD Subscribers in a sentence

  • The number of MVPD Subscribers and XXX Subscribers for a given month shall be calculated by adding the number of XXX Subscribers on the first day of the applicable calendar month and on the last day of such calendar month and dividing by two (2).

  • Notwithstanding anything to the contrary herein, the Aggregate Number of MVPD Subscribers shall not exceed 20,000,000 at any point during the Term.

Related to MVPD Subscribers

  • Subscribers shall have the meaning set forth in the section of this Escrow Agreement titled “Background.”

  • User Subscriptions means the user subscriptions purchased by the Customer and set out in the Subscription Order Form which entitle Authorised Users to access and use the Services in accordance with this Agreement.

  • Subscriber Data means all data, information and other content provided by or on behalf of Subscriber to the Service, including that which the Account Users input or upload to the Service.

  • Commercial Subscriber means a subscriber who causes the signals of TV channels to be heard or seen by any person for a specific sum of money to be paid by such person.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Residential Subscriber means any Person who receives Cable Service delivered to Dwelling Units or Multiple Dwelling Units, excluding such Multiple Dwelling Units billed on a bulk-billing basis.

  • LIHTC means the low-income housing tax credit established by TRA 1986 and which is provided for in Section 42 of the Code, as amended, or any successor thereto.

  • Investor means the Buyer, any transferee or assignee thereof to whom a Buyer assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement, and any transferee or assignee thereof to whom a transferee or assignee assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement.

  • SCI has the meaning set forth with respect thereto in the preamble. ---

  • Average Active Subscriber Base means the number arrived by averaging the active subscriber base count in the manner specified in the Schedule VII of the Regulation.

  • Subscribed Channels means the channels from amongst the Channels subscribed/carried by the Operator, as are specifically identified by the Operator by assigning tick marks (✔) against such channels from amongst the Channels listed in Annexure A to this Agreement.

  • SDSL or "Symmetric Digital Subscriber Line" is a baseband DSL transmission technology that permits the bi-directional transmission from up to 160 kbps to 2.048 Mbps on a single pair. "VDSL" or "Very High Speed Digital Subscriber Line" is a baseband DSL transmission technology that permits the transmission of up to 52 Mbps downstream (from the Central Office to the End User Customer) and up to 2.3 Mbps digital signal upstream (from the End User Customer to the Central Office). VDSL can also be 26 Mbps symmetrical, or other combination.

  • End Users means a Third Party residence or business that subscribes to Telecommunications Services provided by any of the Parties at retail. As used herein, the term “End User(s)” does not include any of the Parties to this Agreement with respect to any item or service obtained under this Agreement.

  • BDS means the Bid Data Sheet;

  • DSL refers to a set of service-enhancing copper technologies that are designed to provide digital communications services over copper Loops either in addition to or instead of normal analog voice service, sometimes referred to herein as xDSL, including, but not limited to, the following:

  • Purchasers is defined in Section 12.3.1.

  • Subscriber Management System means a system or device which stores the subscriber records and details with respect to name, address and other information regarding the hardware being utilized by the subscriber, channels or bouquets of channels subscribed by the subscriber, price of such channels or bouquets of channels as defined in the system, the activation or deactivation dates and time for any channel or bouquets of channels, a log of all actions performed on a subscriber’s record, invoices raised on each subscriber and the amounts paid or discount allowed to the subscriber for each billing period;

  • SDS means safety data sheets;

  • Purchased Services means Services that You or Your Affiliate purchase under an Order Form, as distinguished from those provided pursuant to a free trial.

  • CDSL means Central Depository Services (India) Ltd.

  • LNP shall have the meaning set forth in Section 10.2.1.1.

  • BSC means the Balancing and Settlement Code designated by the Secretary of State with the approval of the Authority;

  • Minimum Subscription means the minimum subscription for Shares as specified in the relevant Supplement.
