Offer Materials definition

Offer Materials. Shall have the meaning set forth in Section 1(a)(i) of Attachment P (Sale of Facility by Seller) to this Agreement.
Offer Materials means the documents and materials filed publicly in connection with the Tender Offer and the Merger.
Offer Materials means, with respect to an Offer, all suitable material to be provided by Merchant including artwork of Merchant’strade marks and trade names.

Examples of Offer Materials in a sentence

  • We may permit you to transfer balances and obligations that you owe other companies or financial institutions to your Account, subject to the terms and conditions disclosed in the Offer Materials (“Balance Transfers”).

  • Within five (5) Days of Company's receipt of the Offer Materials, if Company believes the due diligence information is incomplete, Company shall specify in writing the additional information Company requires to conduct its due diligence.

  • We will tell you in the Offer Materials the introductory or promotional rate and the period of time during which that rate will be in effect and any conditions or requirements of the offer.

  • There is no interest-free period for transactions that post to the Account as Advances or Balance Transfers except as provided in any Offer Materials.

  • Unless the Offer Materials state otherwise, an introductory or promotional rate will remain in effect until the last day of the billing cycle in which the introductory or promotional rate expires.

  • Seller shall provide to Company as part of the Offer Notice, information in its possession regarding the Facility to allow Company to conduct due diligence on the potential purchase, including, but not limited to information on the operational status of the Facility and its components, and the amount of debt or other material Seller obligations remaining with respect to the Facility (the Offer Notice and due diligence information on the Facility are collectively referred to as, the "Offer Materials").

  • The date on which Company receives the Offer Materials from Seller is referred to hereinafter as the "Offer Date." If Company desires to purchase such interest, Company shall indicate so by delivering to Seller a binding, written offer to purchase such interest at the Offer Price and on the terms and conditions specified in the Offer Notice within thirty (30) Days of the Offer Date (an "Acceptance Notice").

  • Upon lodgement, all of the Tenderer’s Offer Materials will become the property of Coffey.Intellectual Property owned by the Tenderer or any third parties forming part of the Offer Materials will not pass to Coffey with the physical property comprising the Offer Materials.

  • Upon lodgement, all of the Tenderer’s Offer Materials will become the property of Tetra Tech International Development.Intellectual Property owned by the Tenderer or any third parties forming part of the Offer Materials will not pass to Tetra Tech International Development with the physical property comprising the Offer Materials.

More Definitions of Offer Materials

Offer Materials means the documentation that the Purchaser has prepared or approved in connection with the Offer, including each of:
Offer Materials means the documentation which the Issuer, or the Guarantor, as the case may be, has caused to be prepared or approved in writing for use in connection with the Proposed Conversion Offer; “PRC” or “China” means the People’s Republic of China. For the purposes of this announcement only and except where the context requires otherwise, excludes Hong Kong, the Macau Special Administrative Region of the PRC and Taiwan; “Shareholder(s)” means the holder(s) of the Shares; “Share(s)” means the ordinary shares of US$0.01 each in the share capital of the Company; “Specific Mandate” means the specific mandate enabling the Company to allot, issue and deal with the Conversion Shares which will fall to be allotted and issued upon conversion of the Convertible Bonds granted to the Directors by way of resolution of the Shareholders passed at the special general meeting held on 2 December 2019; “Subsidiary(ies)” has the meaning ascribed to it under the Listing Rules; “substantial shareholder(s)” has the meaning ascribed to it under the Listing Rules; “U.S.” or “United States” means the United States of America, its territories, its possessions and all areas subject to its jurisdiction; “U.S. Securities Act” means the United States Securities Act of 1933, as amended; “US$” means United States dollars, the lawful currency of the United States; “%” means per cent.
Offer Materials shall consist of the following:
Offer Materials means all documents prepared by, or on behalf of, Parent or distributed on its behalf in connection with the Securities Offering, including (a) any investor presentation or other document released by it to the ASX, (b) any confirmation or allocation letters issued to participants in the Securities Offering, (c) any share purchase plan booklet to be distributed to its shareholders, (d) any application forms issued in connection with the Securities Offering, (e) any statements issued pursuant to Section 708A(5)(e) of the Corporations Act, and (f) all related materials issued or distributed in connection with the Securities Offering, including any statement or release to the ASX.
Offer Materials means the Offer to Purchase and the accompanying Letter of Transmittal and Consent (as defined in the Offer to Purchase).
Offer Materials means the Offer Letter and any other documentation delivered in connection therewith or pursuant to Section 6.5 hereof.

Related to Offer Materials

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Cover material means soil placed over a soil dispersal component composed predominately of mineral material with no greater than ten percent organic content. Cover material may contain an organic surface layer for establishing a vegetative landscape to reduce soil erosion.

  • Shareholder Materials means the Fund’s prospectus, statement of additional information and any other materials relating to the Fund provided to Fund shareholders by the Fund.

  • Fertilizer material means a commercial fertilizer that either:

  • Borrower Materials has the meaning specified in Section 6.02.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the Court Materials or Confidential Information.

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.

  • Company Materials has the meaning specified in Section 6.02.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Publicity Material means the promotional gifts, catalogues, pamphlets and all and any advertising and publicity material whatsoever which an Exhibitor wishes to display, distribute or use at the Exhibition.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Charcoal lighter material means any combustible material designed to be applied on, incorporated in, added to, or used with charcoal to enhance ignition. “Charcoal Lighter Material” does not include any of the following: (A) electrical starters and probes, (B) metallic cylinders using paper tinder, (C) natural gas, (D) propane, and (E) fat wood.

  • Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

  • Electronic device technology means any technology that involves microelectronics, semiconductors, electronic equipment, and instrumentation, radio frequency, microwave, and millimeter electronics; optical and optic-electrical devices; or data and digital communications and imaging devices.

  • Offering Materials means a Fund’s currently effective prospectus and most recently filed registration statement with the SEC relating to shares of the Fund.

  • Solicitation Materials means, collectively, the solicitation materials with respect to the Plan.

  • Biological Materials means certain tangible biological materials that are necessary for the effective exercise of the Patent Rights, which materials are described on Exhibit A, as well as tangible materials that are routinely produced through use of the original materials, including, for example, any progeny derived from a cell line, monoclonal antibodies produced by hybridoma cells, DNA or RNA replicated from isolated DNA or RNA, recombinant proteins produced through use of isolated DNA or RNA, and substances routinely purified from a source material included in the original materials (such as recombinant proteins isolated from a cell extract or supernatant by non-proprietary affinity purification methods). These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Offer Data means the scheduling, operations planning, dispatch, new resource, and other data and information necessary to schedule and dispatch generation resources and Demand Resource(s) for the provision of energy and other services and the maintenance of the reliability and security of the Transmission System in the PJM Region, and specified for submission to the PJM Interchange Energy Market for such purposes by the Office of the Interconnection.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • GOODS / MATERIALS means any of the articles, materials, machinery, equipments, supplies, drawing, data and other property and all services including but not limited to design, delivery, installation, inspection, testing and commissioning specified or required to complete the order.

  • Postconsumer material means a material or finished product that has served its intended use and has been discarded for disposal or recovery, having completed its life as a consumer item. Postconsumer material is a part of the broader category of “recovered material.”

  • Information Materials has the meaning given that term in Section 9.6.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.
