The Parties to this Contract are Operators of or intend to be the Operators of Offshore Facilities used in connection with exploration for or production of oil and gas.

Notwithstanding any other provision of this Contract or any provision of the Rules, the Association may in its absolute discretion accept such an application on the basis that this Contract shall be applicable to one or more Offshore Facilities of which that Party is or becomes the Operator but shall not be applicable to all Offshore Facilities of which that Party is or becomes the Operator.
The proceeds from the drawdown of the Offshore Facilities will primarily be used (a) to fund the settlement of the outstanding consideration for the transfer of the equity interests in the Project Companies; (b) as interest reserve; and (c) to fund the settlement of fee and expenses in relation to the Offshore Facilities.
Such fee does not include the salaries and wages and associated burdens and benefits of SELLER's field employees directly employed in the operation of the Oil & Gas Interests, SELLER's employees directly employed on Shore Base Facilities or other Offshore Facilities serving the Oil and Gas Interests, first level supervisors of the aforementioned field employees located at or near the Oil & Gas Interests, and technical employees directly employed on the Oil & Gas Interests.
