Operating Receipts definition

Operating Receipts or “Revenue” is the total revenue generated by the Contractor under this Contract, including but not limited to revenue for all parking sales and other sales of goods and services, whether paid for by cash, credit, or otherwise, except amounts authorized by the Authority for credit and refund to customers.
Operating Receipts means cash received by a budget unit for services rendered, or from the sale of materials, goods, or supplies created by the budget unit or of items held for resale.
Operating Receipts means cash and cash equivalents (assets readily convertible into cash) that are received by Tenant as a result of its operation of the Coliseum Property, including (without limitation) those representing (a) rental receipts (but in the case of USC Home Football Games or other athletic events for Tenant’s collegiate teams, limited to a market percentage of gate receipts (and subject to the Ticket Price Exclusions described below), which the parties acknowledge are typically eight percent (8%) for college football games as of the Commencement Date); (b) proceeds of the sale of naming rights (subject to the limitations set forth in Section 9.2 and 9.3) (of this Agreement or the Prior Agreement); (c) any imputed rent from an NFL team calculated pursuant to Section 6.2(b) (of this Agreement or the Prior Agreement); (d) signage, concessions, filming and other operations; and (e) proceeds of any ticket surcharge imposed by Tenant that are not Excluded Receipts. Operating Receipts shall also include revenues received by Tenant from the operation of parking areas located on the Sports Arena Property for Events at the Coliseum and from the remittances paid to Tenant pursuant to Section 7.3(f) of this Agreement with respect to Events held at the Coliseum. Operating Receipts shall be calculated on an accrual basis in accordance with GAAP. Notwithstanding the foregoing, (a) Operating Receipts shall not include donations or sums received for Capital Improvement Items by the NFL (subject to Section 6.2(b)) (of this Agreement or the Prior Agreement). Additionally, with respect to the Commercial Value Equivalent of other donations and any commercial naming rights revenues that Tenant designates are to be used for Capital Improvement Items, inclusion of such Commercial Value Equivalent and other revenues in Operating Receipts shall be deferred for a period of three (3) years from the date of receipt; provided that as of the third (3rd) anniversary of the date of receipt, Tenant shall include in the Operating Receipts for the then-current year all Commercial Value Equivalent and other receipts that have been deferred pursuant to this sentence. Operator means the parking operator for the Landlord Parking Areas.

Operating Receipts including (i) all cash revenues and receipts from the operation or leasing of the Project, including rent receipts and all other revenues from operation of the Project, interest income, amounts released from reserves (including the Project Reserve and the Tax and Insurance Escrow) not used for the purpose of such reserves, property tax refunds, forfeited tenant security deposits, and lease termination payments, and (ii) any Excluded Asset Proceeds, as provided for in Section 8.12.3; or
Operating Receipts means the sum of all cash receipts received by the Borrower and its Subsidiaries during the relevant period of determination (other than proceeds of the Term Loans and, except to the extent consistent with the Approved Budget, sales, leases or other dispositions outside of the ordinary course of business of the Borrower and its Subsidiaries), as set forth on, and determined in a manner consistent with, the Approved Budget. For the avoidance of doubt, “Operating Receipts” shall exclude any discounts, holdbacks or other reductions.
Operating Receipts for a particular period means all rents, fees, and other sums actually paid to the Phase IIB Developer during such period for occupancy, use or operation of the Phase IIB Market Rate Owner Improvements, including, but not limited to, amounts paid to the Phase IIB Developer from parking, vending, utility or other concessions in the Phase IIB Market Rate Owner Improvements. Gross Receipts will also include, but not be limited to (but only to the extent actually received by or for the benefit of the Phase IIB Developer in a particular period for such occupancy, use or operation) any condemnation awards or rental insurance proceeds paid in lieu of rent (but not other casualty proceeds or condemnation awards). Operating Receipts shall not include the proceeds of any loan made to Phase IIB Developer (including, without limitation, any proceeds realized from the Tax Exempt Note Loan, any Development Deficit Advance and/or any Operating Deficit Advance), the proceeds of any equity contribution made to the Phase IIB Developer by any member thereof (including, without limitation, the proceeds of any tax credit equity contributions), or security deposits received from any sub-tenant of the Phase IIB Market Rate Owner Improvements until applied by the Phase IIB Developer.
Operating Receipts has the meaning as set forth in Section 4.7.6.
