Our Personnel definition

Our Personnel means all personnel that We or a Subcontractor engage to perform the Services and/or provide the Deliverables or Products.
Our Personnel means Our employees and Our Subcontractors.
Our Personnel means all employees, agents, consultants, contractors and other representatives of Us (or any Our Affiliate or any of their respective subcontractors) who are involved, or proposed to be involved, in the provision of the Services.

  • You confirm that you and your Group have not been offered or otherwise received any illegal or improper bribe, payment, gift or other item, thing or experience of value from any of Our Personnel.

  • We remain fully responsible for the acts, omissions and defaults of Our Personnel and Sub- Processors as if they were Our own and will restrict the involvement of such Personnel and Sub-Processors to those that need to know in order to fulfil Our obligations under this MSA and Your Instructions.

  • Our Personnel or any of their family members must not accept entertainment in exchange for an exercise or non-exercise of their job function or activity.

  • Our Personnel must avoid situations in which their personal interest would conflict with their duties and responsibilities.

  • Our Personnel may offer appropriate and proportionate entertainment that is legal and reasonable within the scope of their work as part of business networking as well as a measure of goodwill towards the recipients.

  • Our Personnel and Business Partners must not directly or indirectly offer, promise or give any form of facilitation payment to any public officials for any purposes.

  • Our Personnel must always bear in mind that perception is more important than facts and therefore our Personnel is expected to always exercise proper care and good judgement when providing entertainment to external parties, especially when it involves public officials.

  • Our Personnel or Business Partners must not directly or indirectly exert, or attempt to exert, any improper or illegal influence on public officials.

  • Our Personnel will not suffer demotion, penalty or other adverse consequences in retaliation for refusing to pay or receive bribes or participate in other illicit behaviour.

  • Our Personnel and Business Partners must never use donations or sponsorships to obtain business or advantage of any kind or unduly influence the outcome of a business decision or cause others to perceive it as such.

Related to Our Personnel

  • Contractor Personnel means and refers to Contractor’s employees and employees of Contractor’s permitted subcontractors or permitted agents assigned by Contractor to perform Services under this Contract.

  • Supplier Personnel means Supplier’s employees, consultants, agents, independent contractors and Subcontractors.

  • Provider Personnel means all persons employed or engaged by the Provider together with the Provider’s servants, agents, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, Provider’s and Sub-Contractors) used in the performance of its obligations under this Agreement;

  • Medical personnel means any licensed medical provider employed by or contracted with the Assistance Provider or Medical Evacuation Provider to serve in a medical and/or administrative capacity.

  • Personnel means persons hired by the Consultant or by any Subconsultant as employees and assigned to the performance of the Services or any part thereof;

  • Qualified personnel means personnel who meet the statutory or regulatory qualifications for each respective profession currently applicable in this state.

  • Senior Management Personnel means personnel of the company who are members of its core management team excluding Board of Directors. Normally, this would comprise all members of management one level below the executive directors, including all functional heads.

  • Key Personnel means those persons named in the Specification as being key personnel.

  • Key Management Personnel means persons having authority and responsibility for planning, directing and controlling the activities of the Company, directly or indirectly, including any Director (whether executive or otherwise) of the Company;
