Parent Employee Benefit Plans definition

Parent Employee Benefit Plans shall have the meaning assigned to it in Section 3.16 hereof.

Parent Employee Benefit Plans means all Employee Benefit Plans with respect to which Parent or any ERISA Affiliate of Parent has any obligation or liability, contingent or otherwise.

• For purposes of this Section 4.6, "Current Benefits" shall refer to benefits available under Employee Benefit Plans or Parent Employee Benefit Plans, other than benefits available under stock option plans, stock purchase plans and other equity-based benefit plans.

• Except as disclosed in Schedule 3.2(l)(ii) of the Parent Disclosure Schedule or except as would not have a Material Adverse 27 37 Effect, all reports, returns and similar documents with respect to the Parent Employee Benefit Plans required to be filed with any governmental agency or distributed to any Parent Employee Benefit Plan participant have been duly, timely and accurately filed or distributed.

• Parent and the Parent Subsidiaries have performed in all material respects all material obligations required to be performed by them under, are not in material default under or in material violation of, and have no knowledge of any material default or material violation by any party to, any Parent Employee Benefit Plans.

• Parent, the Parent ERISA Affiliates and all the Parent Employee Benefit Plans are in compliance in all material respects with the applicable provisions of ERISA and the Code.

• There are no investigations by any Governmental Authority, termination proceedings or other claims (except routine claims for benefits payable under the Parent Employee Benefit Plans) or proceedings pending or, to the Knowledge of Parent, threatened against or involving any Parent Employee Benefit Plan or asserting any rights to, or claims for benefits under, any Parent Employee Benefit Plan that would reasonably be expected to have a Parent Material Adverse Effect.

Parent Employee Benefit Plans means all Employee Benefit Plans with respect to which Parent or any ERISA Affiliate of Parent has any obligation or liability, contingent or otherwise. “Parent Per Share Stock Valuation” means the per share dollar amount equal to the quotient of the Parent Valuation divided by the number of shares of the capital stock of Parent (including options and warrants to purchase capital stock of Parent) outstanding immediately prior to the Froptix Merger Effective Time, calculated on a fully-diluted basis. “Parent Preferred Stock” means the Parent Series A Preferred Stock and the Parent Series B Preferred Stock. “Parent Series A Preferred Stock” means the Series A Preferred Stock of Parent, par value $0.01 per share. “Parent Series B Preferred Stock” means the Series B Junior Participating Preferred Stock of Parent, par value $0.01 per share. “Parent Series C Preferred Stock” means the Series C Preferred Stock of Parent, par value $0.01 per share, which will have the rights and preferences set forth in the Series C Preferred Certificate of Designation. “Parent Valuation” shall mean $19,000,000. “Person” means all natural persons, corporations, business trusts, associations, unincorporated organizations, limited liability companies, partnerships, joint ventures and other entities and Governmental Authorities or any department or agency thereof. “Proceeding” means an action, claim, suit, investigation or proceeding (including, without limitation, an investigation or partial proceeding, such as a deposition), whether commenced or threatened in writing.

Parent Employee Benefit Plans has the meaning specified in Section 4.19(a).

Parent Employee Benefit Plans means any bonus payments, commissions, profit sharing, death benefits, long- and short-term disability benefits, accidental death and dismemberment benefits, health insurance benefits, sick pay, vacation pay, termination indemnities, retention bonuses or other benefits or incentive arrangements, including, but not limited to, stock options, shares and similar rights in addition to salaries or wages for specific groups of employees which Parent or any of its Subsidiaries is bound to provide by way of any agreement or other commitment of individual or collective nature, including commitments based on works custom (betriebliche Übung), to the extent known to Parent, or collective grant (Gesamtzusage). All contributions due and payable until the date hereof for Parent Employee Benefit Plans have been paid by Parent or any of its Subsidiaries in accordance with the obligations under the respective Parent Employee Benefit Plan and will be paid until the Closing Date.
