Parent Guarantees definition

Parent Guarantees shall have the meaning set forth in Section 5.13(a).
Parent Guarantees means guarantees, letters of credit, surety bonds and similar credit support obligations of any member of the SpinCo Group for the benefit of any member of the Parent Group.
Parent Guarantees has the meaning set forth in Section 2.7.

Examples of Parent Guarantees in a sentence

  • For the avoidance of doubt, and without prejudice to the generality thereof, there shall no longer be any requirement for Parent Guarantees (as set out in Clause 14 of the Relationship Agreement).

More Definitions of Parent Guarantees

Parent Guarantees means, collectively, the Telenor Guarantee and the CTF Guarantees.
Parent Guarantees means, collectively, the guarantee and collateral agreement of even date herewith made by Berkel Inc., Berkel U.S.A. Inc., Weigh- Tronix Inc. and Weigh-Tronix LLC in favour of the Collateral Agent for and on behalf of itself and the Secured Creditors in each case as such Parent Guarantees may be amended, restated, extended, renewed, replaced or supplemented from time to time.
Parent Guarantees means the full and unconditional guarantee by the Parent Guarantor of the due and punctual payment of the obligations of the Company under this Indenture and the Securities issued hereunder, whether for payment of principal, of premium, if any, or interest or any Additional Amounts on the Securities, when and as the same shall become due and payable, whether at maturity, upon redemption or otherwise.
Parent Guarantees means all guarantees, agreements, pledges, mortgages, letters of credit, bonds or other instruments of Seller and its Affiliates (other than the Subsidiaries and WWTI (with respect to the Business)) guaranteeing, securing or becoming otherwise obligated with respect to any actual or contingent liabilities of the Business, WWTI or any of the Subsidiaries.
Parent Guarantees means the guarantees, letters of credit and letters of comfort made or obtained by any member of the Parent Group for the benefit of any member of the Eldercare Group or any Affiliate thereof, including those set forth on Schedule 1.54, but excluding any such guarantees, letters of credit and letters of comfort in respect of any obligations of any member of the Eldercare Group that are terminated or refinanced prior to the Distribution Date.
Parent Guarantees means the guarantees issued pursuant to Section 22.3.
Parent Guarantees means the limited guarantee agreement in substantially the form set out in Schedule C and the bad act guarantee agreement in substantially the form set out in Schedule D, to be entered into by the Parent.
