Parent RSU Award definition

Parent RSU Award means an award of time-based restricted stock units or deferred stock units granted pursuant to a Parent Omnibus Plan that is outstanding as of immediately prior to the Effective Time.

Parent RSU Award shall have the meaning set forth in Section 2.3(c).

Examples of Parent RSU Award in a sentence

Except as otherwise provided in this Section 2.3(b)(ii), each such Converted Parent RSU Award assumed and converted pursuant to this Section 2.3(b)(ii) shall continue to have, and shall be subject to, the same terms and conditions as applied to the corresponding Company RSU Award immediately prior to the Effective Time.
For the avoidance of doubt, except as modified by this Agreement, each Parent OpCo Stock Award, Parent RSU Award and Parent Restricted Stock Award shall be subject to Parent’s employees policies and guidelines.
Following the Effective Time, each unvested Parent RSU Award issued in respect of a Company RSU Award converted pursuant to the terms of this Section 3.06(a) shall be treated in accordance with Section 3.06(a) of the Company Disclosure Letter.

Parent RSU Award means a restricted stock unit award granted by Parent that relates to Parent Common Stock.

Parent RSU Award means any Parent RSU Award (Concentrated) and/or any Parent RSU Award (Legacy).

Parent RSU Award means any award of the right to receive Parent Common Stock that is subject to restrictions based on performance or continuing service and granted under any Parent Stock Plan.

Parent RSU Award means an award of restricted stock units with respect to Parent Common Stock. “Parent SEC Documents” has the meaning set forth in Section 5.22(a).
