Performance Incentive definition

Performance Incentive shall have the meaning ascribed to it in Clause 4.10.
Performance Incentive means, with respect to each Limited Partner, 10% of the amount, determined as of the close of each Incentive Period, if any, of (1) the Limited Partner's allocable share of Net Profits calculated in accordance with Section 5.4 of this Agreement (excluding amounts previously allocated to repurchased or distributed portions of the Limited Partner's Capital Account during the Incentive Period), in excess of the Limited Partner's allocable share of Net Losses calculated in accordance with Section 5.4 of this Agreement (excluding amounts previously allocated to repurchased or distributed portions of the Limited Partner's Capital Account during that Incentive Period), above (2) the greater of (a) the Limited Partner's Hurdle Rate Amount for a given Incentive Period or (b) the Limited Partner's Loss Carryforward Amount, if any, for a given Incentive Period. The Performance Incentive for a given Incentive Period will be adjusted with respect to any contributions, transfers, distributions, withdrawals and repurchases applicable to the Limited Partner's Capital Account for that Incentive Period, or portion thereof.
Performance Incentive means the payment to the Operator under Article 9 for achieving certain performance levels of operation.

Performance Incentive shall have the meaning ascribed to it in Clause 3.12. ac) “Pithead” shall mean any of the following as the context may admit: In case of an underground Coalmine, Pithead shall mean the point of entry into the mine on the surface of coal mine at the ground level and would be a place or point distinct from Delivery Point; In case of an open-cast Coalmine, Pithead shall mean the exit point of Coal on surface (mouth/entry of the main access trench or an auxiliary access trench). In case of open-cast mines with more than one exit points of Coal, there will be as many ‘Pitheads’ and will apply respectively to the amount of Coal egressing from a particular exit point. The distance of transportation on surface from the Pithead (mouth of the main access trench or an auxiliary access trench) to the Colliery Loading Point shall be measured along the route of Coal transportation.
Performance Incentive means the amount which is in excess of the Anticipated Profit for the Investment and which is payable to the Bank as a performance incentive for the Investment;
