Performance Vested RSUs definition

Performance Vested RSUs means the product of (i) the total number of RSUs granted hereby, and (ii) the applicable Performance Vesting Percentage.
Performance Vested RSUs means (i) the Absolute TSR Vested RSUs, plus (ii) the Relative TSR Vested RSUs.
Performance Vested RSUs means (i) the AFFO Vested RSUs, plus (ii) the Same- Property NOI Growth Vested RSUs. (m) “Qualifying Termination” means a Termination of Service by reason of (i) the Participant’s death, (ii) a termination by the Company or any Subsidiary due to the Participant’s Disability, or (iii) a termination by the Company or any Subsidiary other than for Cause or by the Participant for Good Reason. (n) “Restrictions” means the exposure to forfeiture set forth in Sections 5(a) and 6(a). (o) “Same-Property NOI Growth Performance Vesting Percentage” means the percentage determined as set forth on Exhibit A attached hereto, which is a function of the Shopping Center Index Relative Performance during the Performance Period. (p) “Same-Property NOI Growth RSUs” means the number of RSUs designated as Same- Property NOI Growth RSUs on Exhibit A attached hereto. 2 Target LTI to be included for SVPs and above. 3

Examples of Performance Vested RSUs in a sentence

  • Any RSUs granted hereby which do not satisfy the requirements to become Performance Vested RSUs as of the completion of the Performance Period will automatically be cancelled and forfeited without payment of any consideration therefor, and the Participant shall have no further right to or interest in such RSUs.

  • Subject to Sections 5(b) and 6(b) below, upon such determination by the Committee, the Restrictions set forth in Section 6(a) below applicable to any outstanding Performance Vested RSUs (if any) shall lapse and such Performance Vested RSUs shall become fully vested, subject to Participant’s continued status as a Service Provider through such vesting date.

  • In such event, following the completion of the Performance Period, the Restrictions set forth in Section 6(a) above shall lapse with respect to the number of RSUs that become Performance Vested RSUs in accordance with Section 5(a) above (if any) as of the completion of the Performance Period, and such RSUs shall thereupon become fully vested.

  • Subject to Sections 5(b) and 6(b) below, upon such determination by the Administrator, the Restrictions set forth in Section 6(a) below applicable to any outstanding Performance Vested RSUs (if any) shall lapse and such Performance Vested RSUs shall become fully vested, subject to Participant’s continued status as a Service Provider through such vesting date.

  • The award agreement relating to the Performance Vested RSUs is attached hereto as Exhibit A.

  • As soon as reasonably practicable following the completion of the Performance Period, the Administrator shall determine the Same Store Cash NOI, Annual Same Store Cash NOI Growth, Same Store Cash NOI Growth, the Performance Vesting Percentage and the number of RSUs granted hereby that have become Performance Vested RSUs as of the completion of the Performance Period.

  • As soon as reasonably practicable (but in no event more than forty-five (45) days) following the completion of the Performance Period, the Committee shall determine the Company TSR Percentage, the Index TSR Percentages, the Index Relative Performance, the Relative TSR Performance Vesting Percentage and the number of RSUs granted hereby that have become Performance Vested RSUs, in each case as of the completion of the Performance Period.

  • Any RSUs (including any Performance Vested RSUs) that do not become fully vested in accordance with the preceding sentence will automatically be cancelled and forfeited as of the completion of the Performance Period without payment of any consideration therefor, and the Participant shall have no further right or interest in or with respect to such RSUs.

  • Early submission will allow adequate timefor a Mission/B/IO to consider these concepts for possible funding.5 Note that concept papers, if received before January 31, 2013, may also be considered for funding in FY2014.

  • Payouts between the performance levels set forth on Appendix A will be determined by the Committee based on straight-line interpolation; provided, however, that no payout shall be made if the threshold level of the respective goal is not attained.Your Performance Vested RSUs will vest to the extent provided in, and in accordance with, the terms of this Certificate.


More Definitions of Performance Vested RSUs

Performance Vested RSUs will vest based on (i) satisfaction of the performance targets during each applicable three-year performance period, as set forth in Exhibit A, and (ii) the Participant’s continuing Employment throughout such applicable performance period and through the third anniversary of the Grant Date. Of the Participant’s Performance-Vested RSUs, [___]% will be subject to a “[________________]” performance target and [___]% will be subject to a “[________________]” performance target, as provided in Exhibit A. Related to Performance Vested RSUs

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Performance Units means an Award which may be earned in whole or in part upon attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Performance-Based Restricted Stock means Shares issued or transferred to an Eligible Individual under Section 9.2.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • Performance Stock means a Target Number of Shares granted pursuant to Section 10(a) of the Plan.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • Performance Option means an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Qualified Performance-Based Award means an Award intended to qualify for the Section 162(m) Exemption, as provided in Section 11.

  • Deferred Stock Units means the number of hypothetical Shares subject to an Election.

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.

  • Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Section 5.3.

  • Performance Date means December 31, 2022. If the Locality, in consultation with the Authority and VEDP, deems that good faith and reasonable efforts have been made and are being made by the Company to achieve the Targets, the Locality may, prior to the then-current Performance Date, request an extension of the Performance Date by up to 15 months. Any extension of the Performance Date shall require the prior approval of the Board of Directors of VEDP (the “Board”). The Committee may appropriately adjust any evaluation of performance under a Qualifying Performance Criteria to exclude any of the following events that occurs during a performance period: (A) asset write-downs; (B) litigation or claim judgments or settlements; (C) the effect of changes in tax law, accounting principles or other such laws or provisions affecting reported results; (D) accruals for reorganization and restructuring programs; and (E) any gains or losses classified as extraordinary or as discontinued operations in the Company’s financial statements.

  • Performance Grant means an Award subject, in part, to the terms, conditions and restrictions described in Section 9, pursuant to which the recipient may become entitled to receive cash, Class A Shares, Other Real Goods Securities or property, or other forms of payment, or any combination thereof, as determined by the Committee.

  • Performance-Based Awards means the Performance Share Awards and Restricted Stock Awards granted to selected Covered Employees pursuant to Articles 9 and 10, but which are subject to the terms and conditions set forth in Article 11. All Performance-Based Awards are intended to qualify as "performance-based compensation" under Section 162(m) of the Code.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Performance-Based Award means any Restricted Stock Award, Restricted Stock Units, Performance Share Award or Cash-Based Award granted to a Covered Employee that is intended to qualify as “performance-based compensation” under Section 162(m) of the Code and the regulations promulgated thereunder.

  • Company Restricted Stock Unit means a restricted stock unit issued pursuant to any of the Company Equity Plans that remains outstanding as of immediately prior to the Effective Time (other than Company Performance Restricted Stock Units).
