Performance Vesting Percentage definition

Performance Vesting Percentage means the percentage determined in accordance with Exhibit A attached hereto, which is a function of whether and to what extent the Performance Goals are achieved during the Performance Period.

Performance Vesting Percentage means a percentage, determined in accordance with the table set forth below, based on the extent to which the following Same Store Cash NOI Growth goals are attained during the Performance Period (it being understood that in no event will the Performance Vesting Percentage exceed 100%): ​

• In the event that the Company’s Relative TSR falls between the Threshold Level and the Target Level or between the Target Level and the Maximum Level, the Relative TSR Performance Vesting Percentage shall be determined using straight line linear interpolation between the applicable levels.

• EBITDA PSUsThe number of PSUs that are earned and vest based on the achievement of Adjusted EBITDA performance attained by the Company during the EBITDA Performance Period (the “EBITDA PSUs”) shall be determined by multiplying the number of Target EBITDA PSUs by the applicable Adjusted EBITDA Performance Vesting Percentage, as determined in accordance with the below table.

• In the event that the Company’s Adjusted EBITDA falls between the Threshold Level and the Target Level or between the Target Level and the Maximum Level, the Adjusted EBITDA Performance Vesting Percentage shall be determined using straight line linear interpolation between the applicable levels.

• Relative TSR PSUsThe number of PSUs that are earned and vest based on the achievement of Relative TSR attained by the Company during the TSR Performance Period (the “Relative TSR PSUs”) shall be determined by multiplying the number of Target Relative TSR PSUs by the Relative TSR Performance Vesting Percentage, as determined in accordance with the below table.

• As soon as reasonably practicable following the completion of the Performance Period, the Administrator shall determine the Same Store Cash NOI, Annual Same Store Cash NOI Growth, Same Store Cash NOI Growth, the Performance Vesting Percentage, the number of Class D Units granted hereby that have become Performance Vested Base Units, the number of Distribution Equivalent Units and the number of Performance Vested Units, in each case as of the completion of the Performance Period.

Performance Vesting Percentage means a function of the MSCI Index Relative Performance during the Performance Period, and shall be determined as set forth on Exhibit A attached hereto.
