"Prime Rate" means the rate per annum announced from time to time during the reference period by Citibank, N.A. as its United States prime, reference or base rate for commercial loans. "PTO" means the United States Patent and Trademark Office. "Railcars" has the meaning set forth in Section 5.10(c).
