Preferred Issue Price definition

Preferred Issue Price means the price at which each Preferred Unit is issued, subject to equitable adjustment in the event of any unit or stock splits, dividends, reverse splits, recapitalizations or other similar events.
Preferred Issue Price means, (a) with respect to a Series A-1 Preferred Share, the Series A-1 Issue Price; (b) with respect to a Series A-2 Preferred Share, the Series A-2 Issue Price; (c) with respect to a Series A-3 Preferred Share, the Series A-3 Issue Price; (d) with respect to a Series A-4 Preferred Share, the Series A-4 Issue Price; (e) with respect to a Series B Preferred Share, the Series B Issue Price, and (f) with respect to a Series C Preferred Share, the Series C Issue Price.

  • Any exercise of the Put Right shall be at a price per Series A Preferred Unit (the “Put Price”) equal to the Series A Preferred Issue Price plus the Accrued Preferred Return applicable to such Series A Preferred Unit up to and including the applicable Put Date.
