Project Invention definition

Project Invention shall have the definition provided in Section 5.2.
Project Invention means Project Technology that is an Invention.
Project Invention means any new proprietary technology, Know-How, materials, methods, processes, protocols, inventions or discoveries (whether or not patentable) generated by employees or agents of a Party (or its Affiliates), either solely or jointly with employees or agents of the other Party (or its Affiliates) in the performance of activities under a Project Plan or otherwise in connection with this Agreement other than Clinical Patient Data or Assay Performance Data. For clarity, Project Inventions will include, without limitation, any improvements or modifications to a Party’s Background IP that are generated in performance of activities under a Project Plan or otherwise in connection with this Agreement.

Examples of Project Invention in a sentence

  • When it is deemed likely that a Project Invention may be created, the Recipient shall be required to conclude an Intellectual Property Rights Agreement with the Centre in relation to the Intellectual Property right considerations that might flow from the creation of such Project Inventions, the timing for which shall be set out in Part 3 – Schedule of Project Milestones.

  • The first of such patent application(s) shall be filed within 180 days of the Recipient notifying the Centre of the Project Invention.

  • Within 90 days of notifying the Centre of a Project Invention, the Recipient shall inform the Centre of its decision of whether to file application(s) for a patent in Canada, the United States and/or any other country and/or take any other action to obtain other intellectual property protection for the Project Intellectual Property Rights.

  • Any election by a Party not to share equally in the expenses associated with seeking patent protection for any Project Invention shall not be construed as a termination event under Section XI.

  • The decision on filing of patents for Project Inventions shall be made by the Party having an ownership interest in such Project Invention.


More Definitions of Project Invention

Project Invention means all Improvements, inventions, discoveries and improvements (whether or not patentable) that are conceived or first reduced to practice in the course of conducting a Project or otherwise performing services related to this Agreement by one or more individuals who are employees, agents, consultants or subcontractors of one of the Parties.
Project Invention means an invention conceived by either PARTY or jointly by the PARTIES and arising out of the ACRONYM PROJECT. Such PROJECT INVENTIONS may include SOLE INVENTIONS and JOINT INVENTIONS as defined hereinafter. SOLE INVENTION means an invention conceived solely by one PARTY under this ACCESSORY AGREEMENT.

Examples include, but are not limited to, production engineering software, training software, and test equipment software, among and others.
