Project Inventions definition

Project Inventions means any inventions created, devised or arising out of the Organisation’s undertaking and performance of the Project or any part of it;
Project Inventions means all inventions, designs, works, computer programs, software, discoveries, improvements, technologies, trade secrets, know how, processes, formulas, algorithms, production methods and technical data arising from or connected with the Project.
Project Inventions means any and all new discoveries, concepts, ideas, Proprietary Material, developments, specifications, methods, drawings, designs, flow charts, diagrams, models, formulae, procedures, processes, schematics, specifications, algorithms, apparatus, inventions, ideas, know-how, materials, techniques, methodologies, modifications, improvements, works of authorship and data (whether or not protectable under patent, copyright, trade secrecy or similar laws and whether or not patentable or reduced to practice), know-how, materials, methods, models, procedures, processes, schematics, specifications, techniques, tools, and any other forms of technology that are conceived, created, discovered, developed, generated, made or reduced to practice or tangible medium of expression during the performance of this Agreement, whether solely by one or more employees or consultants of Company, solely by one or more employees or consultants of LLS, or jointly by one or more employees or consultants of Company and one or more employees or consultants of LLS, in each case relating to the Research Program and/or the Product, together with all related Intellectual Property Rights.

Examples of Project Inventions in a sentence

  • The Recipient shall ensure that no patent application in relation to the Project Inventions is filed without the Centre's express written consent, which consent may be conditional on specific terms, as deemed appropriate by the Centre.

  • The Recipient shall ensure that the rights in the Project Inventions are neither licensed, nor assigned by the Recipient, its employees, Subcontractors or Sub-recipients without the express written consent of the Centre, which consent may be conditional on specific terms, as deemed appropriate by the Centre.

  • Subject to the rights granted to Participant and the other sponsors hereunder, all Project Inventions and Data shall be owned by BGM.

More Definitions of Project Inventions

Project Inventions means any Inventions that are conceived and reduced to practice by BIT in the course, and as the result, of performance by BIT of its obligations under the Agreement with respect to the development of the Project; provided, however, that notwithstanding the foregoing, all Background Intellectual Property is expressly excluded from the definition of “Project Inventions.”
Project Inventions means all inventions made by the Parties under the Research Programme which do not relate to Compounds (including but not limited to inventions relating to screening assays and assay modifications, targets and target modifications, HTS techniques);

Project Inventions do not include any Inventions conceived, created, discovered, developed, generated, made or reduced to practice or tangible medium of expression prior to the effective date of this Agreement.
Project Inventions means any invention(s) conceived in the course of work under this Agreement and which becomes the subject of one or more patent applications. Each of APB and LMI shall keep confidential and protect from disclosure to third parties all Background Propriety Information and Project Proprietary Information of the other. Except as otherwise provided in this Agreement, neither APB nor LMI shall disclose to any person, firm or corporation such information of the other party unless the other party provides its prior written consent. APB and LMI shall each use the other party's Background Proprietary Information and Project Proprietary Information only in the performance of and for the purpose of this Agreement and/or any Master Agreement No. APB-LMI-001 Order (consistent with the foregoing, LMI shall not manufacture Products or Spare Parts for, or sell Products or Spare Parts to, any party other than APB). Notwithstanding the foregoing and the prior paragraph, APB shall have the right to use and disclose such information of LMI for the purposes of testing, certification, use, sale, or support of any Product delivered under this Agreement, or any airplane including a Product; and provided that APB shall obtain an appropriate non-disclosure covenant from such receiving party. Upon (i) either party's request or (ii) in the event of completion, termination or cancellation of this Agreement, each party shall return, subject to the provisions of Section 23.1 herein, all Background Proprietary Information and all Project Proprietary Information of the other party, and all materials comprising or derived from such information to the other party, unless specifically directed otherwise in writing by the other party. Each party shall not, without the prior written authorization of the other party, sell or otherwise dispose of (as scrap or otherwise) any parts or other materials containing, conveying, embodying, or made in accordance with or by reference to any Background Proprietary Information and Project Proprietary Information of the other party, provided that this provision is not intended to prevent APB from selling Products to Customers. Prior to disposing of such parts or materials as scrap, each party shall render them unusable. Each party shall have the right to audit the other party's compliance with this Article 23.0.
